JOHN OXIAN: I am suggesting two signatures on items that require two
signatures.

MARTHA CHOITZ: I think everything should require two signatures.

JOHN OXIAN: Okay, lets leave it as it is and have two signatures on everything.

THOMAS BODNAR: Perhaps there should be a reporting of the expenditures at
each_meeting.

RHONDA SAUNDERS: What the treasurer issues at meetings lists everything that is
paid.

JOANN SPORLEDER: I would like more time to think these amendments through
a little more.
- -- - 336 - -- --
MARTHA CHOITZ: We have been with out a director many, many times. There
is nothing written to inform an interim director of their boundaries and duties.

JOANN SPORLEDER: I don't understand why this has to be an amendment?

JOHN OXIAN: This is simply an amendment to the By-Laws to make the Director
and Assistant Director positions permanent and legal.

RICHARD MORRISON: Under the Directors description item `B", it states that the
director is to direct all of the activities and projects. I would suggest the wordage be
changed to state that the Director over sees activities and projects and manage the
functions of the office and staff.

JOANN SPORLEDER: That is why I would like to wait, I do not have any
objections to the over concepts, however, I do have concerns regarding some of the
wording.

JOHN OXIAN: Then lets table the matter until July.

V. NEW BUSINESS

JOHN OXIAN: I would like to discuss the new state law.

THOMAS BODNAR: Given the possibility of legal action coming about one way
or another in this matter, this opinion is given to you under the attorney client privilege
and is to remain confidential and not discussed in public. The Commissioners can
discuss this issue on a one on one or two on two basis with each other to discuss their
thoughts about this with out having a meeting or the Commission members can convene
in an executive session.

AL1
