SENT BY:KUTAKROCK ;11- 4-92 ; 2:21PM ; - 2022230491-) 12192371125#25 <br /> "Business Day" means any clay other than a Saturday, Sunday, a legal holiday or a day <br /> on which banking institutions in the State or in the State of New York are authorized or required <br /> by law to remain closed. <br /> "Certified Resolution" means a copy of one or more resolutions or ordinances certified <br /> by the Clerk of the Issuer under its seal to have been duly adopted by the Board of Trustees of <br /> the Issuer, and to be in effect on the date of such certification. <br /> "Closing Date" means the date of initial issuance and delivery of the Bonds. <br /> "Code" means the Internal Revenue Code of 1986, as amended, and with respect to a <br /> specific section thereof, such reference shall be deemed to include the Regulations promulgated <br /> under such section. <br /> "Debt Service" means the amount of principal of, premium and interest on the Bonds due <br /> on any Payment Date. <br /> "Debt Service Reserve Fund" means the Debt Service Reserve Fund established pursuant <br /> to Section 401 hereof. <br /> "Debt Service Reserve Fund Requirement" means an amount equal to the sum of (i) 12 <br /> months' interest on the original principal amount of the Bonds, (ii) one percent of the then <br /> outstanding principal amount of the Note, (iii) one percent of the original principal amount of <br /> the Bonds and (iv) one month's interest on the then outstanding principal amount of the Note. <br /> "Depository" means The Depository Trust. Company in New York, New York, its <br /> successors or assigns, or any other person who shall be a Holder of all Bonds directly or <br /> indirectly for the benefit of Beneficial Owners and approved by the Owner, the Trustee and <br /> Newman and Associates, Inc. to act as the Depository, provided that any Depository shall be <br /> registered or qualified as a "clearing agency" within the meaning of Section 17A of the <br /> Securities Exchange Act, as amended. <br /> "Developer" means Health Quest Realty V, an Indiana general partnership. <br /> "FHA" means the Federal Housing Administration, an organizational unit within HUD. <br /> "FHA Insurance Account" means the account of the Mortgage Payment Fund so <br /> designated which is established pursuant to Section 4 of the Servicing Agreement. <br /> "HUD" means the U.S. Department of Housing and - Urban Development and its <br /> successors and assigns. <br /> 3152.1 6 • <br />
