Mr. Al Greek <br />City of South Bend Utilities <br />December 3, 2019 <br />Page 2 of 6 <br />General Consultin <br />Weaver is available to assist you with general questions and providing information surrounding <br />certain regulatory requirements, upon request. This is inclusive of the following regulations: U.S. <br />Code of Federal Regulations, Title 40, Part 80 Subpart M (the Renewable Fuel Standard). On <br />occasion, it may be necessary to seek clarification from the applicable governing agency. In such <br />a case, the Company's name will remain confidential, unless express permission to disclose the <br />Company's name to the applicable agency has been granted. If we are not able to answer the <br />Company's specific question, or provide the level of clarification being requested, we will advise <br />as soon as practical. <br />Weaver is also available to assist the Company with all facets of fuels compliance on an ongoing <br />basis, as requested by you. Any such additional services will only be performed if they are <br />requested and our agreement to perform them is in writing, which may be the subject of a <br />separate engagement letter. <br />This engagement letter is exclusive of any agreement regarding attestation or Quality Assurance <br />Plan engagements required or requested under the U.S. Code of Federal Regulations, Title 40, Part <br />80. <br />David Bennett is the engagement partner and is responsible for supervising the engagement on <br />behalf of Weaver. The Company is responsible for (a) making all management decisions and <br />performing all management functions; (b) assigning a competent individual to oversee our <br />services; (c) evaluating the adequacy of the services performed; (d) evaluating and accepting <br />responsibility for the results of the services performed; and (e) establishing and maintaining internal <br />controls, including monitoring on -going activities. <br />No Warranties <br />Any and all implied warranties arising out of Services or the relationship between Weaver and the <br />Company are hereby expressly disclaimed and negated, in particular, but not by way of <br />limitation, we make no implied warranty of merchantability or fitness for a particular purpose. <br />Fees and Invoicing <br />The cost for performing work under this agreement is billable by the hour, and the hourly rates for <br />our personnel involved in performing the Services are shown in the fee schedule below.
