In the event of any conflict between this Milestone Provision and any Contract Document, including the Prime Contract, this Milestone Provision shall control unless agreed otherwise. The Project Schedule and Contract Sum are contingent upon timely fulfillment of each Project Milestone. Active cooperation and coordination by Contractor, including the management and coordination of other subcontractors and suppliers within Contractor's control, are all requirements for fulfilling the Project Milestones. Contractor's failure to fulfill any Project Milestone may result, in addition to damages, in a Project Schedule adjustment, the duration of which shall be at the discretion of Subcontractor. A failure by Contractor to fulfill any Project Milestone shall release Subcontractor from any liability or any damages resulting there from. Contractor shall be responsible for damages, including but not limited to, actual costs of Subcontractor resulting from missed Project Milestones, any rescheduling costs, Subcontractor's then current monthly storage rates for Subcontractor's plant storage yard or, the actual costs of an offsite storage lease, transport, labor, associated crane and equipment costs and other actual costs concerning the storage of the product until delivery may be accomplished with Subcontractor's then available resources. Additionally, Subcontractor shall be permitted a ten percent (10%) mark-up for profit and a ten percent (10%) mark-up for overhead as applied to such increased costs for manufactured products. Such reimbursement by Contractor shall occur within thirty (30) days of Subcontractor's request therefore and is not contingent upon Contractor receiving payment from its customer. 5
