BEACON PORTAL AND SERVICE AVAILABILITY PROMISE. <br />Badger Meter will use commercially reasonable efforts to fulfill the following Service Promise: <br />BEACON Portal and Service Availability of 99% within each calendar month, excluding any <br />Emergency Downtime, Scheduled Downtime, any unavailability of the Portal and Service due <br />to any Force Majeure Event and any unavailability of the Portal and Service less than fifteen <br />(15) minutes in duration following written notice thereof. <br />Definitions <br />"Availability" is the monthly uptime percentage with normal functionality of the Portal and the <br />Service, calculated as described below. <br />"Emergency Downtime" means any unavailability of the Portal or Service due to a temporary <br />suspension by Badger Meter to perform maintenance to address any, urgent and unexpected issue <br />with the Portal or Service. <br />"Scheduled Downtime" means any unavailability of the Portal or Service due to scheduled <br />maintenance. Scheduled maintenance may occur between 10:00 p.m. on Saturday to 4:00 a.m. on <br />Sunday (Pacific Time) every week. Badger Meter shall have the right to change the scheduled <br />maintenance times upon notice to Customer posted on the BEACON Portal. <br />CALCULATION of BEACON Portal and Service Availability: <br />Availability is measured by Badger Meter through standard monitoring software that tests the <br />application availability at least every five (5) minutes and logs unavailability incidents (date and UTC <br />time) for each monitored component. <br />Availability is calculated as the percentage of uptime in the applicable calendar month, excluding <br />scheduled downtime;. <br />1_._.�.....................�....... TotalUnavailiabil nut ...................w__wwwwww <br />TotalMinutesofServiwMonth—TotalMinutesofApprovedDowntime -. <br />Where: <br />"Total Unavailability Minutes" is the cumulative unavailability time in minutes in the <br />applicable month where the Portal and Service are not available due to unplanned outages or <br />from systematic errors on the part of Badger Meter, <br />"Total Minutes of Service Month" is the cumulative time in minutes in the month in question, <br />calculated by taking the number of days in month x 24 hours/day x 60 minutes/hour, and <br />©2019 Badger Meter, Inc.
