BID PROPOSAL REQUIREMENTS AND CONFORMITY 12.0 Indemnity ASAP shall indemnify and hold harmless, the City, its officers, employees, including any agency department, or commission of the City for any and all suits or actions brought against the City on account of any loss, injury or damage sustained or claimed to have been sustained by anyone in connection with or arising out of the performance of this contract by ASAP Towing or any of its agents, employees, or independent contractors. 13.0 Insurance and Liability Coverage ASAP Towing holds indemnity and liability insurance under the U.S. Truck & Trailer Service, Inc., the parent company, of ASAP Towing. Liability insurance covers up to $1,000.000.00 and is held by Trumbull Insurance Company — certificate #877331622, policy #37UENOL2209. • Copy of Insurance for complete coverage and underwriter information — attachment 20-21 14.0 Maintenance of Vehicles ASAP Towing agrees to handle all removals authorized by the city with the upmost respect. All personal property and components within the vehicle shall be kept intact. Vehicles will be returned to the owners in substantially the same conditions as they existed before being towed. 15.0 Terms and Termination ASAP Towing agrees to the term and termination outlines. The company agrees to work with the City of South Bend Police Department for the period of three (3) years and that one (1) year term thereafter, upon the mutual written agreement of the City and company. ASAP understands and will abide by the RFP outlines for the termination of the contract, on the part of the company, to address the City in writing and provide notice of one hundred twenty (120) days so provisions may be made on the part of the City to replace ASAP Towing. 16.0 Costs • Please see cost break down — page 9 and 10 19
