���������������m� re <br />� '_-- _ _ ' __'___ <br />���en°��.�� ��� . <br />The Axon Commander Software (Commander), all executable instructions, images, icons, sound, <br />and text incorporated in Commander, is owned by Axon and is protected by United States <br />copyright laws and international treaty provisions. Except tmthe extent expressly licensed |nthis <br />Agreement, all rights are reserved to Axon. <br />1. License Grant. Axon�rant�a�om-exdu��e rV�a worldwide right and! license to use <br />Commander, where °mse"and "us|ne" in this Agreement mean storing, loading, installing, or <br />executing Commander exclusively for data communication with an Axon product. The term <br />ofthe license will be detailed inthe Quote. The Agency may use Commander inanetwo[ked <br />environment on computers other than the computer on which Commander is installed <br />provided that each execution of Commander is for data communication with an Axon! <br />product. The Agency may make copies and adaptations of Commander for archival purposes <br />only. When copying or adaptation is an essential step in the authorized use of Commander, <br />the Agency shall retain all copyright, trademark, and proprietary notices in the original <br />Software pmall copies nradaptations. <br />2. License Restrictions. The Agency may not use Commander in, any manner mrfor any <br />purpose other than asexpressly permitted bvthis Agreement. The Agency may not: (*) <br />modify, alter, tamper with, repair, or otherwise create derivative works of Commander; (b) <br />` reverse engineer, disassemble, or decompile Commander or apply any other process or <br />r procedure to derive the source code of Commander, or allow any others to do the same; (c) <br />access nruse Commander inaway intended toavoid incurring fees orexceeding usage <br />limits urquotas; (d)copy Commander imwhole nrpart, except asexpressly permitted inthis <br />Agreement; (e)use trade secret information contaiinedin Commander, except asexpressly <br />permitted in this Agreement; (f) resell, rent, loan, or sublicense Commander; (g) access <br />Commander in order to build a competitive product or service or copy any features, <br />functions orgraphics ofCommander; Vr(h)remove, alter orobscure any confidentiality or <br />proprietary rights notices (including copyright and trademark notices) ofAxon orAxon's <br />licensors onorwithin Commander nr any copies ofCommander. All licenses granted in this <br />Agreement are conditional oncontinued compliance with this Agreement, and will <br />immediately terminate if the Agency does not comply with any term or condition of this <br />Agreement. During the term of use of Commander and after, the Agency will not assert, nor <br />authorize, assist, 0rencourage any third party tnassert, agaiimstAxon mr any ofAxon's <br />affiliates, customers, vendors, business partners, or licensors, any patent infringement or <br />other intellectual property infringement claim, regarding Commander. <br />3. Support. Axon may make available updates and error corrections (co|ectiveh(°Hpdates° to <br />Commander. Updates may be provided electronically via the Internet or via media as <br />determined solely byAxon. It is the Agency's responsibility toestablish and maintain <br />adequate access to the Internet in order to receive the updates. The Agency is responsible <br />for maintaining the computer equipment necessary for use ofCommander. Atits sole <br />discretion, Axon may provide technical support for the current and priorre|emse(m)/versi0o(s) <br />of Commander for a period of six (6) months folloWng the date the subsequent <br />T11W Ma"ot S—itas and Putchbling Asweernent between Axon and Agency Page 19 of 31 <br />
