BE IT FURTHER RESOLVED that, as provided in Section 17 of the Local <br />Agreement and subject to all conditions and limitations stated therein and <br />in this resolution, the Board (i) approves, authorizes and confirms in <br />accordance With the Poklagon Band Constitution and ehacted.Pokagon <br />Band law the limited waiver of the Authority's tribal sovereign immunity <br />from suit, (ii) consents to be sued for any Judicial Action in any of the <br />Courts of Competent Jurisdiction, and (iii) waives any requirement of <br />exhaustion of tribal remedies; and <br />BE IT FURTHER RESOLVED that, as provided in Section 16 of the Local <br />Agreement and subject to all conditions and limitations stated therein and <br />in this resolution, the Local Agreement and the limited waiver of the <br />Authority's . tribal sovereign immunity shall become effective upon the <br />commencement of the Term of the Local Agreement and shall continue in <br />effect during the Term so long as the Local Agreement remains <br />enforceable against the City. <br />CERTIFICATION <br />We do hereby certify that the foregoing Resolution was <br />presented and voted upon with a quorum present at a duly <br />convened meeting of the Board of Directors held on the 10th <br />day of March, 2016 by a vote of 11 in favor, 0 opposed, 0 <br />absent, and 0 abstaining. <br />Warren <br />President and CEO <br />I i1 <br />Mark Parrish <br />Secretary <br />Filed in Clerk's Office <br />MAR 2 3 2016 <br />KAREEMAH FOWLER <br />CITY CLERK, SOUTH BEND, IN <br />j <br />
