H. To provide for such temporary location the County desires to renovate the <br />South Bend PSAP facility, use the existing dispatching equipment located at the South Bend <br />PSAP facility and fully install additional dispatching equipment to use in the South Bend PSAP. <br />I. Concurrent with the execution of this Lease, the South Bend desires to <br />sell, assign, transfer and convey, through a Bill of Sale, to the County the existing dispatching <br />equipment located at the South Bend PSAP facility for a purchase price equal to the equipment's <br />depreciable value as set forth in said Bill of Sale. <br />J. The County desires to take complete operational and managerial control of <br />the South Bend PSAP, acting by and through the Consortium. <br />K. Concurrent with the renovation of the South Bend PSAP and the <br />relocation of the County PSAP and Clay PSAP thereto, the Consortium wishes to finance the <br />acquisition, construction, renovation, installation, and equipping of a unified County -wide PSAP <br />(the "Consolidated Dispatch Center "). <br />L. On or before September 30, 2015, all operations of the County PSAP, <br />South Bend PSAP, Clay PSAP and Mishawaka PSAP shall be fully and completely transferred <br />to the Consolidated Dispatch Center and following such transfer, the South Bend PSAP shall <br />serve as a backup to the Consolidated Dispatch Center. <br />WITNESSETH: <br />FOR AND IN CONSIDERATION of the full and faithful compliance by the <br />parties hereto with each and all of the terms, covenants and conditions herein contained to be <br />complied with by them, Lessor does hereby lease, let and demise unto Lessee approximately <br />square feet of office space within Lessor's City of South Bend Police Department <br />located at 701 Sample Street, South Bend, Indiana, 46001 ( "Premises ") as shown on Exhibit A <br />attached hereto and made a part hereof the police station upon the real estate described on <br />Exhibit B attached hereto and made a part hereof, (hereinafter referred to as the "Building "), <br />together with use of the parking area serving the Building. The Premises are leased by Lessor tc <br />Lessee subject to all applicable covenants, easements, conditions and restrictions of record, and <br />subject to the provisions of all applicable building codes and zoning ordinances. <br />ARTICLE I <br />TERM <br />1.1 Term.
