WHEREAS, South Bend, Mishawaka and the County desire to share the <br />Symbiont Fee based upon the percentages set forth in this Agreement and they further <br />desire to administer any Grant funds pursuant to the terms of this Agreement; and <br />WHEREAS, South Bend, Mishawaka and the County desire to enter into this <br />Agreement for that purpose. <br />NOW, THEREFORE, in consideration of the mutual promises and obligations <br />in this Agreement, the adequacy of which is hereby acknowledged, the Parties agree as <br />follows: <br />I. PURPOSE <br />The purpose of this Agreement is to provide for the administration of the Grant <br />Funds and for cost sharing of the Symbiont Fee among the Parties. <br />South Bend has experience in employing environmental consultants, engineering <br />contractors and administering similar grant awards. Mishawaka and the County wish to <br />utilize the expertise and experience of South Bend's staff and the South Bend Board of <br />Public Works in administering the Grant and further, to reimburse South Bend for a <br />portion of the Symbiont Fee as more fully set forth herein below. <br />II. PROJECT FUNDS AND DUTIES <br />a. Budget. <br />The total cost of the Symbiont Fee is anticipated not to exceed the sum of Twenty <br />Four Thousand Dollars ($24,000.00). South Bend will pay the Symbiont Fee initially and <br />Mishawaka and the County will reimburse South Bend as follows: <br />Mishawaka 25% (up to $6,000.00) <br />St. Joseph County 25% (up to $6,000.00) <br />Each of Mishawaka and the County shall pay such percentage share to South <br />Bend, upon notice from South Bend that South Bend has paid all or a portion of the <br />Symbiont Fee. <br />b. Duties of South Bend. <br />South Bend hereby agrees as follows: <br />i. South Bend has retained Symbiont to prepare the Grant application on <br />behalf of the Coalition. South Bend will continue to provide <br />information to Symbiont to assist in the Grant application. There is no <br />cost to South Bend or to the Coalition for the preparation of the Grant <br />application. <br />2 <br />
