V'UN 10 ?014 <br />CITY C 1, g9w 13EN63, IN <br />INTERLOCAL AGREEMENT BY AND BETWEEN <br />THE CITY OF SOUTH BEND, INDIANA <br />THE CITY OF MISHAWAKA, INDIANA, <br />AND <br />ST. JOSEPH COUNTY, INDIANA <br />(Symbiont Cost Sharing Project) <br />THIS INTERLOCAL AGREEMENT ( "Agreement") is entered into the <br />day of , 2014, by and among the City of South Bend, Indiana, the City of <br />Mishawaka, Indiana, and St. Joseph County, Indiana. <br />RECITALS <br />WHEREAS, political subdivisions of the State of Indiana are authorized to enter <br />into an Interlocal Agreement with other Indiana political subdivisions pursuant to IC 36- <br />1-7-1; and <br />WHEREAS, the City of South Bend, Indiana, ( "South Bend ") is an Indiana <br />political subdivision for purposes of I.C. 36- 1 -7 -1; and <br />WHEREAS, the City of Mishawaka, Indiana, ( "Mishawaka ") is an Indiana <br />political subdivision for purposes of I.C. 36- 1 -7 -1; and <br />WHEREAS, St. Joseph County, Indiana, ( "County ") is an Indiana political <br />subdivision for purposes of I.C. 36- 1 -7 -1; and <br />WHEREAS, South Bend will enter into a contract, in the form of Exhibit "A" <br />attached hereto, with Symbiont Science, Engineering and Construction, Inc. <br />( "Symbiont ") to prepare a grant application for a United States Environmental Protection <br />Agency Brownfields Coalition Assessment Grant (the "Grant ") on behalf on South Bend, <br />Mishawaka and the County (collectively, the "Coalition" or the "Parties "); and <br />WHEREAS, the Grant would provide Six Hundred Thousand Dollars <br />($600,000.00) (the "Grant Funds ") for the benefit of the Coalition; and <br />WHEREAS, Symbiont will prepare the Grant application at no cost to the <br />Coalition, however, in the event that the Coalition is awarded the Grant, a sum, not to <br />exceed Twenty Four Thousand Dollars ($24,000.00) would be due to Symbiont (the <br />"Symbiont Fee "); and <br />
