Section 2. Classes of Membership. There shall be two classes of Membership, Class <br />A and Class B. Members shall be designated as Class A Members or Class B Members <br />according to the amounts of their respective contributions of funds to the Corporation, as set <br />forth below: <br />a. Class A Members. Members who have contributed, or made a commitment to <br />contribute, an amount not less than three hundred thousand dollars ($300,000) <br />over a period no longer than five (5) years, shall be Class A Members. <br />b. Class B Members. Members who have contributed, or made a commitment to <br />contribute, an amount not less than one hundred twenty-five thousand dollars <br />($125,000) and up to three hundred thousand dollars ($300,000) over a period no <br />longer than five (5) years, shall be Class B Members. <br />Board of Trustees <br />Section 1. Trustees. The affairs of the Corporation shall be managed, controlled, <br />and conducted by, and under the supervision o4 the Board of Trustees, subject to the provisions <br />of the Articles of Incorporation and these Bylaws. The Board of Trustees shall have the number <br />of members, no more than twenty (20) and no fewer than three (3), as designated by resolution of <br />the Board of Trustees from time to time. When not so designated, the number of Trustees shall <br />be fourteen (14). <br />Section 2. Composition of the Board of Trustees The Board of Trustees shall be <br />composed as follows: <br />a. Two (2) persons who are nominated by the chief executive officer of each Class A <br />Member, <br />b. One (1) person who is nominated by the chief executive officer of each Class B <br />Member, and <br />c. For each Trustee nominated by the Class A Members and Class B Members, one <br />additional person (hereafter referred to as "Resident Trustee") who is nominated <br />by a nominating committee and who is a resident of the area generally known in <br />
