If the M&V <br />Services are terminated for any reason, Customer shall continue to pay Ameresco, as provided in <br />Section 4(d) of the Agreement, an annual fee, for preparing all GESC reports under IC § 36-1-12.5- <br />10 and providing them to Customer to sign and submit, in the amount of $500 for the second <br />Guarantee Year, and escalating at 3.0% per year for each Guarantee Year thereafter. For clarity, the <br />IC § 36-1-12.5-10 Cost is only required if M&V Services are terminated.
