Confidential & Proprietary Information of Ameresco, Inc. <br />Page 44 of 54 <br />Operating Cost Savings <br />Actual Annual Savings from Operating Cost Savings shall be determined as set forth in Table G4 <br />below, based on guidance from the U.S. DoE Federal Energy Management Program’s publication How <br />to Determine and Verify Operating and Maintenance (O&M) Savings in Federal Energy Savings <br />Performance Contracts, November 2007. This guidance allows for cost savings from avoided <br />renovation, renewal, or repair costs as a result of the Project. <br />Table G4: M&V Approach for Operating Cost Savings <br />M&V Plan <br />Description <br />Methods for the measurement and verification of Operating Cost Savings have <br />not been developed for either FEMP or IPMVP M&V Guidelines. However, <br />FEMP does provide a guidance publication on verification of O&M Savings, <br />including avoided current or planned capital expense. This approach has been <br />customized for this project based on the FEMP guidance document. <br />For this project, there is one (1) stream of Operating Cost Savings – Related <br />Capital Expenditures. <br />•Operating Cost Savings – Related Capital Expenditures - Avoided <br />future equipment replacement and/or capital fund project (Related Capital <br />Expenditures). This is associated with all ECMs (1-9) <br />Baseline <br />Performance <br />Parameters <br />For Operating Cost Savings – Related Capital Expenditures, the baseline <br />performance parameters are the cost budget estimates for the alternative project <br />that the Customer would have undertaken to complete the Scope of Services and <br />meet the functional requirements for such Scope <br />Post Installation <br />Performance <br />Parameters <br />For Operating Cost Savings - Avoided future equipment replacement and/or <br />capital funded project (Related Capital Expenditures) associated with ECMs (1-9), <br />the post installation performance parameters are the actual cost for completing <br />the Scope of Services under this Agreement and the delivered functional <br />capability of the Scope of Services as documented prior to final delivery and <br />acceptance and / or the M&V Report. <br />The Operating Cost Savings for the first Guarantee Year (“Year 1 Operating Cost <br />Savings”) is noted in Table G6. <br />Performance <br />Assurance <br />Activities <br />The Project site will be surveyed with the Customer to confirm the Scope of <br />Services is complete and in conformance with the Scope of Services and are <br />performing as specified prior to delivery and acceptance. <br />If the Scope of Services has been completed per the specifications / Scope of <br />Services, meeting the functional requirements of the Customer, then at final <br />acceptance, it will be agreed that the Operating Cost Savings identified in Table <br />G6 will be deemed achieved and will be documented in the delivery and <br />acceptance certificate and / or the M&V Report. <br />Ameresco shall develop, send to Customer for signature, and submit the GESC <br />Report to the State of Indiana for as long as GESC Services are provided. <br />M&V Services <br />For each Guarantee Year for which M&V Services are to be performed, Ameresco will perform the <br />M&V Services and submit to Customer a measurement and verification report for the Property (the <br />“M&V Report”), which shall include a guarantee reconciliation (the “Guarantee Reconciliation”) upon <br />the later of (i) ninety (90) days after the end of each Guarantee Year and (ii) sixty (60) days after
