<br />Page 3 of 42 <br />1.4 PAYMENTS. The annual monetary limit for payments under this Agreement shall be <br />$100,000.00. The annual monetary limitations shall begin to accrue on the Effective Date of this <br />Agreement. <br />A. All maintenance payments paid by INDOT shall be paid at a flat unit rate per intersection <br />based on type of visit as listed in Exhibit B, attached hereto and incorporated by reference. <br />The flat unit rate per intersection shall cover all labor, vehicles, and equipment used in <br />carrying out the work. <br />B. The CITY shall invoice INDOT monthly for all work that falls under this Agreement. With <br />the monthly invoice, the CITY shall provide all documentation and forms required in this <br />Agreement to document repairs and maintenance work. A failure to provide this <br />documentation is a basis to withhold payment. <br />C. The CITY shall provide a material invoice to INDOT for any material not provided by <br />INDOT, except to the extent Section 2.6. F. applies. <br />D. Any payments that INDOT may delay, withhold, deny, or apply under this Section shall <br />not be subject to penalty or interest under IC § 5-17-5. <br /> <br />ARTICLE II <br />MAINTENANCE RELATED PROVISIONS <br /> <br />2.1 SCHEDULE OF OPERATIONS. On an annual basis, the parties shall hold a meeting to <br />review through the schedule of operations for the upcoming year to discuss needed maintenance, signal <br />related matters, and to agree upon any needed adjustments to the preventative maintenance schedules. <br />Maintenance shall include: <br />A. Non-Scheduled Maintenance. “Non-Scheduled Maintenance” shall include a response <br />on an as needed basis to a malfunctioning signal or flasher to restore it to an acceptable <br />operating mode. Non-Scheduled Maintenance will include work dealing with power <br />outages; repairs and replacement of traffic signals, flashing beacons, and pre-warning <br />flashers; repairs to wiring, detection, controllers, controller programming changes, setting <br />clocks, and other changes to control devices. Repairs or replacement of the following will <br />also be considered Non-Scheduled Maintenance: <br />i. Traffic signal controllers; <br />ii. Detector amplifiers and receivers;
