party and reports and other documents required of the Commission, and (e) perform such <br />other duties as these by-laws provide or the Commission by resolution prescribes. <br />Section 4. Vice -President. The Vice -President shall perform the duties <br />incumbent upon the President during the President's absence and such other duties as <br />these by-laws provide or the Commission by resolution prescribe. <br />Section 5. Secretary. The Secretary of the Commission shall (a) attest such of the <br />documents referred to in Section 3 of this Article 3 as may require attestation, (b) attest, <br />after approval, preserve and safeguard the minutes of all meetings of the Commission, (c) <br />certify copies of documents and minutes, (d) preside at all meetings of the Commission in <br />the absence of the President and Vice President, and (e) perform such other duties as <br />these by-laws provide or the Commission by resolution prescribe. In the Secretary's <br />absence, then his/her duties shall be performed by the Assistant Secretary. <br />Section 6. Treasurer. The Treasurer shall coordinate with and report to the City's <br />fiscal officer concerning any and all financial matters affecting the Commission. If <br />required, the Treasurer shall file a surety bond paid and administered in accordance with <br />City policies. <br />Section 7. Assistant Secretary. The Commission may name an Assistant Secretary <br />who shall serve at the pleasure of the Commission and perform such duties as delegated <br />by the Secretary or as the Commission may by resolution prescribe. <br />ARTICLE 4 <br />MEETINGS <br />• <br />Section 1. Regular Meetings. The Commission shall conduct a regular meeting at <br />least once each month on the day and at the hour as determined from time to time by the <br />Commission. <br />Section 2. Special Meetings. A special meeting of the Commission may be called <br />(a) by the President, (b) by three (3) members of the Commission, or (c) by the City's <br />Historic Preservation Administrator of the Commission, by giving five (5) days' written <br />notice to each member. <br />Section 3. Quorum. A quorum shall consist of a majority of the duly appointed <br />and serving members, provided that a quorum shall never be less than three (3) members. <br />Section 4. Action. A concurrence of a majority of the members present shall <br />be required to pass a motion or resolution. <br />• <br />2 <br />
