• <br />AGREEMENT FOR AUTHORIZED, LIMITED USE OF AND ENTRY UPON REAL <br />ESTATE OWNED BY HISTORIC LANDMARKS FOUNDATION OF INDIANA D/B/A <br />INDIANA LANDMARKS, FOR STORAGE OF WINDOWS BY THE HISTORIC <br />PRESERVATION COMMISSION OF SOUTH BEND AND ST. JOSEPH COUNTY, <br />INDIANA <br />THIS AGREEMENT is made effective the 9th day of July, 2018, by and between <br />HISTORIC LANDMARKS FOUNDATION OF INDIANA D/B/A INDIANA LANDMARKS <br />("Landmarks"), with offices at 801 West Washington Street, South Bend, Indiana 46601 and the <br />HISTORIC PRESERVATION COMMISSION OF SOUTH BEND AND ST. JOSEPH <br />COUNTY (HPC), a governmental agency under the CITY OF SOUTH BEND DEPARTMENT <br />OF COMMUNITY INVESTMENT with its principal office located at 227 West Jefferson <br />Boulevard, Suite 1400, South Bend, IN 46610 ("HPC"). <br />RECITALS <br />WHEREAS, the HPC has in its possession and control approximately 133 historic <br />• windows that were previously located in storage space owned by St. Joseph County, Indiana, <br />which storage space is no longer available in perpetuity to the HPC; and <br />WHEREAS, an inventory of the HPC's historic windows is attached hereto as Exhibit 1; <br />and <br />WHEREAS, Landmarks owns a building designated as a local historic landmark <br />commonly known as the Kizer House, located at 801 West Washington Street, South Bend, St. <br />Joseph County, Indiana, and Indiana Landmarks is willing to permit HPC to store the windows <br />identified in Exhibit 1 in the lower level of the Carriage House of that building at no charge for <br />as long as Indiana Landmarks owns that real estate and to grant HPC reasonable access to the <br />storage area for purposes related to inspection, removal, and related purposes of the windows <br />from time to time; and <br />WHEREAS, HPC desires to accept Indiana Landmarks' offer of storage space and <br />further desires to memorialize the agreement between the parties. <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein and for <br />other good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the Parties agree as follows: <br />1. Indiana Landmarks grants to HPC an exclusive right on, in and across a portion of <br />the lower level of the building commonly known as the Kizer House's Carriage House located at <br />is <br />801 West Washington Street, South Bend, St. Joseph County, Indiana for the purpose of storing <br />
