10) Upon termination of this Agreement, whether by mutual consent or at the election of a parry, the Inspector shall promptly return to the HPC any of the HPC's materials, documents or other tangible property of any kind which the 'Inspector acquired from the HPC, or as a consequence of those services rendered for the HPC, or which the Inspector produced for the HPC. 11) This Agreement shall begin on January 1, 2016 and shall terminate on December 31, 2016. This Agreement replaces all prior agreements between the parties and all prior agreements between the parties shall be null and void. This Agreement shall continue in effect for one-year terms until it is canceled or terminated by either parry as provided hereinabove. 12) This Agreement shall inure to the benefit of and be binding upon the parties hereto, their successors and permitted assigns. This Agreement shall be governed by and enforced and construed in accordance with the laws of the State of Indiana and any action to enforce any of the terms hereof shall be filed in the Superior Court of St. Joseph County, Indiana. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original without the production of the other and all such counterparts together shall constitute but one and the same instrument. 13) Neither party hereto may assign, either wholly or in part, any of its rights or obligations under this Agreement to any other natural person or legal entity without the prior written consent of the other party hereto. 14) This Agreement shall constitute the entire agreement between the parties hereto relative to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings of the parties and no variance or modification hereof shall be valid or enforceable except by supplemental agreement in writing, dated subsequent to the date hereon and executed by the parties in the same manner as this Agreement.
