10) Upon termination of this Agreement, whether by mutual consent or at the election of a <br />parry, the Inspector shall promptly return to the HPC any of the HPC's materials, <br />documents or other tangible property of any kind which the 'Inspector acquired from the <br />HPC, or as a consequence of those services rendered for the HPC, or which the Inspector <br />produced for the HPC. <br />11) This Agreement shall begin on January 1, 2016 and shall terminate on December 31, <br />2016. This Agreement replaces all prior agreements between the parties and all prior <br />agreements between the parties shall be null and void. This Agreement shall continue in <br />effect for one-year terms until it is canceled or terminated by either parry as provided <br />hereinabove. <br />12) This Agreement shall inure to the benefit of and be binding upon the parties hereto, their <br />successors and permitted assigns. This Agreement shall be governed by and enforced <br />and construed in accordance with the laws of the State of Indiana and any action to <br />enforce any of the terms hereof shall be filed in the Superior Court of St. Joseph County, <br />Indiana. This Agreement may be executed in any number of counterparts, each of which <br />shall be deemed an original without the production of the other and all such counterparts <br />together shall constitute but one and the same instrument. <br />13) Neither party hereto may assign, either wholly or in part, any of its rights or obligations <br />under this Agreement to any other natural person or legal entity without the prior written <br />consent of the other party hereto. <br />14) This Agreement shall constitute the entire agreement between the parties hereto relative <br />to the subject matter hereof and supersedes all prior and contemporaneous agreements <br />and understandings of the parties and no variance or modification hereof shall be valid or <br />enforceable except by supplemental agreement in writing, dated subsequent to the date <br />hereon and executed by the parties in the same manner as this Agreement. <br />(Signature Page Follows) <br />
