2. Legal <br />ALADEAN DEROSE: I am most pleased to introduce to all of you today your new <br />council to the HPC, Shawn Peterson, who has come to us from Baker and Daniels as a <br />very experienced attorney. I can attest to his intelligence, his conscientiousness, and his <br />work ethic. I think you will be very pleased to have him as your legal council. If ever <br />there's a date or time that Shawn cannot be here then I will remain as his back up. <br />Shawn Peterson briefly introduced himself to the commission. <br />IV. OLD BUSINESS <br />1. Chapin Park Standards and Guidelines, Taylor's Field and LWE <br />CATHERINE HOSTETLER: We have them underway and Julie's been working on <br />them all month. We hope to have them all printed off and ready to go by the end of this <br />year, or the beginning of next year. <br />MARTHA CHOITZ: To the printer or back from the printer? <br />CATHERINE HOSTETLER: Back from the printer. <br />2. Vote on Amendment to By -Laws <br />LYNN PATRICK: Catherine, did you have a chance to ask Aladean about that one <br />suggested change? <br />ALADEAN DEROSE: Yes, she did. Catherine mentioned that Julie had suggested that <br />the committee language have the same language as in the Advisory Board to the effect <br />that no opinion or recommendation made by the committee shall constitute official action <br />of the Commission nor shall it bind the Commission in any way. I don't have a problem <br />with adding that language; however, committee's generally as a rule don't have binding <br />authority on what the commission does so it's not necessary, but if you want to add that <br />we certainly can. <br />JOHN OXIAN: How come in Section 2, you state, "Special Committees may be <br />appointed by resolution of the Commission, or by unanimous consent, to serve at the <br />pleasure of the Commission." What is the idea of unanimous consent? I don't <br />understand why you need that. <br />ALADEAN DEROSE: It is simply a more instant way of appointing special <br />committees. Frankly I don't know, this is the existing language <br />JOHN OXIAN: I've seen where you say maybe by resolution of the commission that <br />just about takes care of everything. You don't even need the words by unanimous <br />consent; because, to me it sounds like the only way the contents of this resolution will be <br />applied would have to be by unanimous consent of the commission and I don't think you <br />want that in there. I would drop those words. I would also drop those same words where <br />it states, "Such Special Committees by the President may continue if authorized by <br />resolution of the Commission by unanimous consent." <br />ALADEAN DEROSE: If it is not an illegal modification then I don't have a problem <br />with that, if that's what you want to do. <br />JOANN SPORLEDER: In part one, I have some concerns about how and whom the ex - <br />officio people are to be appointed and for how long they serve. It is not stated how or by <br />whom they are to be selected or appointed. Are they appointed by the commission at <br />large, the president, the committee chairman, or other? How long do they serve? Do <br />they serve for one meeting, a specific project, for a year, or longer? I also have the same <br />questions for Section 2 as well. <br />24 <br />
