5) HPC will provide a desk and work area for Mr. Doolittle in the HPC office for his use in <br />the tasks and duties set forth above. <br />6) Mr. Doolittle shall not be designated nor treated as an employee by HPC. He shall be an <br />independent contractor, and, as such, shall assume and pay in full any and all of his own <br />payroll taxes, unemployment insurance, workers compensation insurance, or other legally <br />mandated costs, expenses, or withholdings associated with his work. <br />7) All work product of Mr. Doolittle that is produced while performing services for the HPC <br />shall be the sole property of the HPC. <br />8) The HPC may terminate Mr. Doolittle's services at any time provided that the HPC <br />notifies him in writing within forty-eight hours of its decision to terminate his services. <br />Any payment due to Mr. Doolittle at the time of such a termination shall be made to him <br />no later than the next date on which regular services payment is due. <br />9) Mr. Doolittle may terminate his services to the HPC upon thirty days written notice <br />delivered to the HPC at or prior to a regular monthly meeting of the HPC. This notice <br />period may be shortened if health or other urgent circumstances require. <br />10) Upon termination of Mr. Doolittle's services, whether by mutual consent or not, Mr. <br />Doolittle shall property return to HPC any of HPC's materials, documents, or tangible <br />property of any kind which he acquired from the HPC, or as a consequence of services <br />rendered for HPC, or which he produced for HPC. <br />11) This Contract shall remain in effect for one year from its date of execution, and shall <br />continue in effect for one-year terms thereafter until it is canceled or terminated by either <br />of the parties. <br />12) This Contract shall be interpreted according to Indiana Law, and shall bind the parties, <br />their agents, assigns, and successors in interest. <br />
