3. HPC will provide a desk and work area in the HPC office for Heritage's employee <br />while Heritage's employee is engaged in the duties and tasks set forth in paragraph 1. <br />4. Notwithstanding his/her services on behalf of HPC, at no time shall Heritage's <br />employee be designated or treated as an employee of HPC; all payroll taxes, unemployment <br />insurance, workers compensation insurance, and all other legally mandated costs, expenses and <br />withholdings associated with employment shall be assumed and paid in full by Heritage. <br />5. Any information disclosed to the Heritage employer by the HPC during the course <br />of such employee's services engagement which is deemed to be confidential by the HPC shall not <br />be disclosed by said employee to any person or entity unless the HPC consents in writing to such <br />disclosure. <br />6. . All work product of Heritage's employee while performing services for HPC shall <br />be the sole property of HPC. <br />7. The HPC may terminate the services of Heritage's employee at any time for any <br />reason but shall notify Heritage in writing within forty-eight (48) hours of its decision to terminate <br />services. Any payment due to Heritage at the time of such termination of services shall be made to <br />Heritage no later than the next date on which the regular services payment is due. <br />8. Upon termination of the services of Heritage's employee, whether involuntarily or <br />by mutual Contract, such employee shall return promptly to HPC any of HPC's materials, <br />documents, or tangible property of any kind which said employee acquired from HPC, or as a <br />consequence of services rendered for HPC, or which he/she produced for HPC. <br />9. This Contract shall remain in effect for a period of one year from its date of <br />execution, and will continue in effect for one year terms thereafter until it is cancelled or terminated <br />by either of the parties upon thirty (30) days written notice. The termination of the services of a <br />particular Heritage employee under paragraph 6 of this Contract does not necessarily terminate this <br />Contract, and Heritage should attempt to provide HPC with a successor employee as soon as possible <br />if it is able to do so. <br />10. This Contract may be modified by the parties at any time but such modifications shall <br />be in writing. <br />11. This Contract shall be interpreted according to Indiana law and shall bind the parties, <br />their agents, assigns, and successors in interest. <br />
