<br />unlessexemptedbyrules,regulations,orordersoftheSecretaryofLaborissuedpursuantto
<br />Section204ofExecutiveOrder11246ofSeptember24,1965,sothatsuchprovisionswillbe
<br />bindinguponeachsubcontractororvendor.Thecontractorwilltakesuchactionwithrespect
<br />toanysubcontractorpurchaseorderastheadministeringagencymaydirectasameans
<br />ofenforcingsuchprovisionsincludingsanctionsfornoncompliance:Provided,however,that
<br />intheeventacontractorbecomesinvolvedin,oristhreatenedwith,litigationwitha
<br />subcontractororvendorasaresultofsuchdirectionbytheadministeringagencythe
<br />contractormayrequesttheUnitedStatestoenterintosuchlitigationtoprotecttheinterests of
<br />theUnitedStates."
<br />Theapplicantfurtheragreesthatitwillbeboundbytheaboveequalopportunityclausewith
<br />respecttoitsownemploymentpracticeswhenitparticipatesinfederallyassistedconstruction
<br />work:Provided,thatiftheapplicantsoparticipatingisaStateorlocalgovernment,the
<br />aboveequalopportunityclauseisnotapplicabletoanyagency,instrumentalityorsubdivision
<br />ofsuchgovernmentwhichdoesnotparticipate in workonorunderthecontract.
<br />Theapplicantagreesthatitwillassistandcooperateactivelywiththeadministeringagency
<br />andtheSecretaryofLaborinobtainingthecomplianceofcontractorsandsubcontractorswith
<br />theequalopportunityclauseandtherules,regulations,andrelevantordersoftheSecretaryof
<br />Labor,thatitwillfurnishtheadministeringagencyandtheSecretaryofLaborsuchinformation
<br />astheymayrequireforthesupervision ofsuchcompliance,andthatitwillotherwiseassist
<br />theadministeringagencyinthedischargeoftheagency'sprimaryresponsibilityforsecuring
<br />compliance.
<br />Theapplicantfurtheragreesthatitwillrefrainfromenteringintoanycontractorcontract
<br />modificationsubjecttoExecutiveOrder11246ofSeptember24,1965,withacontractor
<br />debarredfrom,orwhohasnotdemonstratedeligibilityfor,Governmentcontractsandfederally
<br />assistedconstructioncontractspursuanttotheExecutiveOrderandwillcarryoutsuch
<br />sanctionsandpenaltiesforviolationoftheequalopportunityclauseasmaybeimposed upon
<br />contractorsandsubcontractorsbytheadministeringagencyortheSecretaryofLaborpursuant
<br />toPartII,SubpartDoftheExecutiveOrder.Inaddition,theapplicantagreesthatifitfailsor
<br />refusestocomplywiththeseundertakings,theadministeringagencymaytakeanyorallofthe
