Superion ASP Renewal Agreement <br />This Superion ASP Renewal Agreement is entered into with Superion, LLC under the terms and conditions <br />of the Superion Application Services ProviderAgreement with an execution date of March 24, 2015 <br />(Agreement), between Sungard Public Sector, Inc.andCity of South Bend, Indiana(Customer). <br />Unless otherwise stated below, all terms and conditions as stated in the Agreement shall remain in effect. <br />. <br />WHEREAS Superion, LLC (Superion)acquired 100% of the assets of Sungard Public Sector, Inc, including the rights <br />and responsibilities under all existing Sungard Public Sector Agreements, including the ASP with the City of South Bend, <br />Indiana; <br />NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good <br />and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, by the signatures of their duly <br />authorized representative below, theParties intending to be legally bound, agree to all of the following provisionsof this <br />Agreement: <br />SUPERION, LLC.
