8\ Showcase place -based information boeducate candidates on living and <br />working |nIndiana. <br />Participant's Commitments. The Participant will vvOd« collaboratively with <br />Ascend tohelp develop the Network, The Participant's expectations include the <br />following, all for the purpose of broadening and deepening the content and public <br />utility of the Network: <br />1\ Participate in research and educational activities upon reasonable request <br />from Ascend. Such activities may include, but will not be limited to: <br />surveys, focus groups, or place -based seminars, and such activities will be <br />used by Ascend to help improve Indiana's workforce system. <br />2\ Make the Network available t0 employees and other key personnel Onsite <br />(i.e. wh|te||stthe software application to enable access); <br />3\ Build an employer profile; <br />4\ Create referral links for Ascend; <br />5> Post entry level jobs and internships; <br />6) Actively use the Network SD(tvvare and evaluate candidates; <br />7) Report outcomes for candidate users in a manner consistent with <br />Confidentiality Duties provided hereunder; and <br />8\ Provide feedback onthe Network software, candidates, and processes. <br />Confidentiality; Proprietary Information. Ascend and Participant <br />acknowledge that, over the course of the Pilot, each may be exposed to information <br />that is proprietary, private, or otherwise confidential ("Confidential Information"). <br />Confidential Information specific to Ascend includes, but is not limited to <br />information relating to CICP's members and CICP's various sector and project <br />initiatives, as well as CICP's past, present, or future research, development, <br />inventions, processes, techniques, designs, marks, or other technical material and <br />data, information concerning participants, and administrative, management, <br />financial, marketing, and publishing material and data. Confidential Information <br />does not include any information available to the public prior to disclosure by either <br />Party (without fault of the disclosing Party), or any information received from a <br />third party who possesses the information lawfully and who has the right to disclostow; <br />such information, <br />Confidential Information Duties. The Parties agree that the Confidential <br />Information will be kept confidential. The Parties shall use the same care in <br />protecting the other's Confidential Information as it uses to protect its own <br />confidential information, provided that neither Party shall use less than reasonable <br />efforts to protect the other's Confidential Information. Each Party agrees to be <br />responsible for any breach of the confidentiality obligations under this Agreement <br />by its Representatives. Notwithstanding the foregoing, the Parties may disclose <br />Confidential Information to its respective representatives whose access is necessary <br />to conduct the activities in connection with the Network who have been informed of <br />the confidentiality restrictions contained in this Agreement.
