Service Terms and Conditions <br />Names <br />This agreement is between Customer (Client) and Responder Biomedical Services, LLC, an Indiana and <br />Florida limited liability company (Contractor). <br />Services to be Performed <br />Contractor agrees to perform the following services described on Page 1 of this document. <br />Pricing <br />Pricing is listed on the first page of this document and does not include taxes if applicable. <br />Terms of Payment <br />Client shall pay Contractor within 45 days from the date of Contractor's invoice. <br />Equipment and Supplies <br />Contractor, at Contractor's expense, will provide all equipment, tools and supplies necessary to perform <br />the services described on Page 1 of this document. The following equipment or materials will be the <br />responsibility of Client: <br />Client will supply H —Type cylinder (s) of medical grade oxygen to power devices for purposes of test <br />and calibration for all on -site ventilator services. <br />Client will assist with the rotation of equipment on and off of apparatus and make an effort to maintain <br />a steady flow of equipment to minimize Contractor idle time. <br />Expenses <br />Contractor will be responsible for all expenses required to perform services listed on Page 1, except for <br />the following, which will be paid for by Client: <br />Parts to complete required repairs. <br />Additional labor required for any required repairs. <br />Shipping charges for ship -in contracts. <br />Contractor shall submit an itemized statement of these expenses. Client shall pay Contractor within 45 <br />days from the date of each statement. <br />Exclusions <br />Repairs that require proprietary tools or fixtures not available for purchase from the device <br />manufacture. <br />
