5. Amendment <br /> Changes and amendments to this Agreement shall be made only upon the affirmative <br /> vote of two-thirds of the Consortium membership voting upon a motion to change or amend at <br /> a meeting of the Board. <br /> B. Board <br /> (a) South Bend shall undertake its responsibilities as lead entity for the Consortium <br /> under the direction of a Board which shall be known as the St. Joseph County Housing <br /> Consortium Board (Board), <br /> (b) The Board shall be composed of the following membership: <br /> (1) The Mayor of South Bend or designee; <br /> (2) A member appointed by the Mayor of South Bend; <br /> (3) The Mayor of Mishawaka, or designee; <br /> (4) A member appointed by the Mayor of Mishawaka; <br /> (5) President of the Board of County Commissioners of St. Joseph County, or <br /> designee; <br /> (6) A member appointed by the President of the Board of County <br /> Commissioners of St. Joseph County. <br /> Each chief elected official member of the Consortium who elects to be represented by <br /> a designated alternate, shall, upon designating that alternate, so advise the other Consortium <br /> members. <br /> (c) The Board shall meet from time to time, as necessary to carry out its responsibilities <br /> and purposes hereunder, and shall publish notice of its meetings and conduct its meetings in <br /> accordance with the provisions of I.C. 5-14-1.5. <br /> (d) A simple majority of the Board membership shall constitute a quorum at any <br /> meeting of the Board. The act of the majority of the members present and voting at a meeting <br /> at which a quorum is present shall be the act of the Board. <br /> (e) The Board shall hold and exercise all authority with respect to the activities of the <br /> Consortium 's lead agency hereunder, and neither Mishawaka, South Bend, nor the County <br /> may veto or otherwise restrict or obstruct the Board in its implementation of any required plans, <br /> 4 <br />
