CONSULTING AGREEMENT <br />By and Between <br />South Bend Redevelopment Commission and <br />Blue Waters Group <br />(Phase V) <br />This Consulting Agreement (this "Agreement ") is made effective the 1St day of <br />March, 2012 by and between the South Bend Department Redevelopment, acting by and <br />through its Redevelopment Commission, having its offices at 1200 County -City Building, <br />227 W. Jefferson Blvd., South Bend, Indiana 46601 (the "City ") and the Blue Waters Group, <br />Inc., ( "BWG "), a Wisconsin corporation with offices in South Bend, Indiana. <br />WITNESSETH <br />WHEREAS, the City desires to retain the services of BWG specifically to work with <br />the South Bend Department of Redevelopment and its staff to provide marketing consultation <br />and communications services to position South Bend to make the most of the opportunity <br />offered by the Midwest Institute for Nanoelectronics Discovery (MIND), especially through <br />Ignition Park; and <br />WHEREAS, the City has established a three -month period for the completion of this <br />Agreement, beginning March 1, 2012, and continuing through May 31, 2012. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements set <br />forth below, the parties covenant and agree as follows: <br />Section 1. Services <br />BWG agrees to assist the City in the following specific areas: <br />A. Produce and manage the SouthBendON web site and monthly <br />newsletter <br />1. Coordinate one monthly editorial strategy meeting with the City <br />2. Identify specific content and subject matter in consultation with the <br />City <br />3. Conduct interviews and gather all information and photos as required <br />4. Produce copy for vetting by all story subjects and resources <br />5. Obtain final approval of content by the City <br />6. Complete editing and proofing of all content <br />7. Apply content within current design format of the site and newsletter <br />8. Manage the production of the monthly newsletter for distribution to <br />subscribers <br />9. Coordinate and manage the functionality of the site <br />- 1 - <br />
