RESOLUTION NO. 2200 <br />A RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION <br />APPROVING A FORM OF MAINTENANCE SERVICE AGREEMENT FOR <br />THE ELEVATORS IN THE WAYNE STREET PARKING GARAGE <br />AND OTHER RELATED MATTERS <br />WHEREAS, the South Bend Redevelopment Commission (the "Commission"), the <br />governing body of the Department of Redevelopment of the City of South Bend, Indiana (the <br />"City") and the City of South Bend, Indiana, Redevelopment District, exists and operates under <br />the provisions of Indiana Code § 36-7-14, as amended (the "Act"); and <br />WHEREAS, the Commission owns the parking facility located at 121 E. Wayne Street in <br />the City (the "Commission Facility") and has recently contracted with KONE Inc. ("KONE") for <br />the purchase and installation of two (2) elevators in the Commission Facility (the "Commission <br />Elevators"); and <br />WHEREAS, the Commission previously negotiated and purchased a warranty for the <br />Commission Elevators, which warranty expired on October 18, 2005; and <br />WHEREAS, the Commission desires to enter into an agreement to provide maintenance <br />and inspection services for the Commission Elevators; and <br />WHEREAS, the City owns the parking facility located at 126 E. Wayne Street in the City <br />(the "City Facility"), which facility contains two (2) elevators owed by the City (the "City <br />Elevators" and with the Commission Elevators, the "Covered Elevators"); and <br />WHEREAS, the City also desires to enter into an agreement to provide for maintenance <br />and inspection services for the City Elevators; and <br />WHEREAS, KONE desires to assist both the City and the Commission by providing <br />maintenance and inspection services for the Covered Elevators; and <br />WHEREAS, a form of Maintenance Agreement between the City, the Commission and <br />KONE (the "Agreement") for the Covered Elevators has been presented to the Commission with <br />an initial term of six (6) months and with certain other terms and conditions that are subject to <br />final negotiations between the various parties; and <br />WHEREAS, on November 29, 2005, the Board of Public Works of the City (the <br />"Board"), on behalf of the City, approved the form of Agreement and authorized the President of <br />the Board to negotiate, finalize, execute and deliver the Agreement on behalf of the City with an <br />initial term of six (6) months; and <br />WHEREAS, the City also owns and operates two (2) elevators that service the Leighton <br />is C.Documents and SettingsltwilliamlLocalSettingsITempWC Resolution Approving Maintenance Agreement (KONE) (version 2)-doc <br />
