WHEREAS, Parks Board, BPW and Commission desire to enter into an agreement <br />providing for the funding and contract administration of the Project. <br />NOW, THEREFORE, in consideration of the mutual promises and obligations in this <br />Agreement, the adequacy of which is hereby acknowledged, the Parties agree as follows: <br />I. PURPOSE <br />Kennedy Park is a public facility located in South Bend, Indiana and benefiting the <br />citizens of South Bend and Parks Board determines that it is necessary and in the public's best <br />interests to remodel the building located at 521 Eclipse Place to become the new state of the art <br />animal shelter for South Bend Animal Care and Control. The Project is generally depicted at <br />Exhibit "A"attached hereto and incorporated herein. <br />BPW has considerable experience in contracting for and administering similar public <br />works construction projects. The parties wish to utilize the expertise and experience of BPW in <br />letting and overseeing any such contracts reasonably necessary to carry out and accomplish the <br />Project and BPW is willing to provide its expertise and experience. <br />Commission has resources that can be used for funding the Project. The parties wish to <br />use the Commission resources to fund the Project. <br />II. PROJECT FUNDS AND DUTIES <br />a. Budget. <br />The Project will be completed for a sum not to exceed $1,500,000.00 ("Project Funds") <br />These costs shall be funded by Commission. <br />b. Duties of Parks. <br />Parks hereby agrees as follows: <br />i. Parks shall make available and provide free access to the Project site to Public <br />Works and Redevelopment and to each of their agents and designated <br />contractors. <br />ii. Parks shall review for approval all proposed improvements to Kennedy Park <br />before Public Works begins the contract bidding process. <br />c. ~ Duties of Public Works. <br />Public Works hereby agrees as follows: <br />
