WHEREAS, Parks Board, BPW and Commission desire to enter into an agreement providing for the funding and contract administration of the Project. NOW, THEREFORE, in consideration of the mutual promises and obligations in this Agreement, the adequacy of which is hereby acknowledged, the Parties agree as follows: I. PURPOSE Kennedy Park is a public facility located in South Bend, Indiana and benefiting the citizens of South Bend and Parks Board determines that it is necessary and in the public's best interests to remodel the building located at 521 Eclipse Place to become the new state of the art animal shelter for South Bend Animal Care and Control. The Project is generally depicted at Exhibit "A"attached hereto and incorporated herein. BPW has considerable experience in contracting for and administering similar public works construction projects. The parties wish to utilize the expertise and experience of BPW in letting and overseeing any such contracts reasonably necessary to carry out and accomplish the Project and BPW is willing to provide its expertise and experience. Commission has resources that can be used for funding the Project. The parties wish to use the Commission resources to fund the Project. II. PROJECT FUNDS AND DUTIES a. Budget. The Project will be completed for a sum not to exceed $1,500,000.00 ("Project Funds") These costs shall be funded by Commission. b. Duties of Parks. Parks hereby agrees as follows: i. Parks shall make available and provide free access to the Project site to Public Works and Redevelopment and to each of their agents and designated contractors. ii. Parks shall review for approval all proposed improvements to Kennedy Park before Public Works begins the contract bidding process. c. ~ Duties of Public Works. Public Works hereby agrees as follows:
