Terms andConditions 9 F'errnf,,,,; ,iind Corulitiors Vendor will provide standard agreements for all software services and maintenance and support needed to provide the intended solution. The City reserves the right to reject any supplemental terms that are requested by the Vendor but deemed by the City not to be in its best interest. Terms and conditions are excluded from the total page count. Infer is pleased to provide its proposal, but reserves the right to negotiate all terms and conditions in the RFP if the City of South Bend selects Infer for procurement. Please note that notwithstanding anything to the contrary set forth in the RFP or Infor's response to the RFP, this proposal is submitted with the understanding that any resulting engagement would be governed by Infor's, standard license, support and services agreements with such modifications, as mutually agreed upon during contract negotiations. Copies of these standard agreements are included with this submission. Should the City of South Bend determine that Infor's offer is acceptable and/or wish to revisit certain points in Infor's RFP proposal, Infer remains open to discussing each of these points in finer detail with the goal of seeking a mutually acceptable approach that will address each party's concerns. Please note that Infor's response has not been drafted as a legal document and, as such, should not be construed as constituting a binding contractual or legal commitment. If chosen or shortlisted, Infer will work with the City of South Bend in good faith to reach an acceptable agreement. Infor views its response solely as a tool to aid your decision in selecting a software provider and maintenance and support vendor. Please recognize that the content set forth in this document is based upon our current understanding of your RFP requirements. Infer would be pleased to meet with knowledgeable representatives of the City of South Bend for purposes of further defining your requiirements. This response document and all information contained herein are the confidential and proprietary information of Infer and/or its affiliates and must not be shared with any third party or reproduced in any form except in furtherance of a potential business transaction. If a disclosure is required by applicable law, then the City of South Bend must give Infer prompt notice and opportunity to prevent disclosure as permitted by law. As requested, sample copies of our agreements have been placed in the reminder of this section. 9-1
