a log of activity occurring during the tour of duty. ESG shall furnish the Morris/Palais/CC with a <br />detailed report of any incident or accidents using the forms prescribed by the Morris/Palais/CC <br />and shall have its personnel cooperate in any investigation of any incident or accident so <br />reported. ESG shall maintain copies of all reports during the entire tern of this Agreement. <br />Meetings <br />ESG shall have a representative attend event security meeting(s) as may be requested by the <br />Morris/Palais/CC Administration. <br />Indemnification and Insurance <br />ESG agrees to indemnify, defend, save and hold harmless the Morris/Palais/CC and the CITY, <br />any jurisdiction or agency issuing permits for any work included in the project and their <br />respective directors, officers, officials, agents, contractors, employees and volunteers, <br />(hereinafter referred to as "Indemnitees") from and against any and all claims, demands, actions, <br />liabilities, damages, losses or expenses (including court costs, attorney's fees, and costs of claim <br />processing, investigation and litigation) hereinafter collectively referred to as "Claims") for <br />personal injury (including death) or property damage caused, or alleged to be caused, in whole or <br />in part, by the negligent or willful acts of omissions of ESG or any of ESG's directors, officers, <br />agents, employees, volunteers or subcontractors. This indemnity includes, but is not limited to, <br />any claim or amount arising or recovered under the Workers' Compensation Law or arising out <br />of the failure of ESG to conform to any federal, state or local law, statute, ordinance, rule, <br />regulation or court decree. It is the specific intention of the parties that the Indemnitees shall, in <br />all instances, except for Claims arising solely from the negligent or willful acts or omissions of <br />the Indemnitees, be indemnified by ESG from and against any and all Claims. It is agreed that <br />ESG will be responsible for primary loss investigation, defense and judgment costs where this <br />indemnification is applicable. <br />ESG shall procure and maintain for the duration of this Agreement, insurance against claims for <br />injuries to persons or damages to property, which may arise from or in connection with the <br />performance of the work hereunder by ESG, its agents, representatives, employees or <br />subcontractors. <br />The insurance requirements set forth herein are minimum amounts required for this Agreement <br />and in no way limit ESGS liability hereunder of the indemnity covenants contained herein. <br />The CITY in no way warrants that the minimum amounts set forth herein are sufficient to protect <br />ESG from liabilities that might arise out of the performance of the work under this Agreement. <br />ESG is free to purchase such additional insurance as it may determine to be necessary. <br />ESG shall provide coverage at least as broad and with liability limits no less than those stated <br />below: <br />1.
