City of South Bend Morris Performing Arts Center Palais Royale Century Center Events EVENT SECURITY SERVICES AGREEMENT This Agreement is dated this aq± day of `�, t , \m2 , 2017 by and between Venues, Parks and Arts complex (Leighton Theater, Morris Bistro, Palais ballroom, Century Center events) hereinafter, "Morris/Palais/CC", acting through the City of South Bend, Indiana's Board of Public Works, "CITY", and ESG Security, Inc., an Indiana Corporation, hereinafter, "ESG". WHEREAS the Morris/Palais/CC desires to have ESG furnish security and protection services for the property at Morris Performing Arts Center and Palais Royale Ballroom along with event security services at Century Center both located in South Bend, Indiana. NOW THEREFORE for and in consideration of the mutual promises and obligations set out below the parties agrees as follows: Term of this Agreement The term of this Agreement shall be for Thirty -Six (36) months (3 years) with options for three (3) annual one (1) year renewals. The contract shall commence no later than July 1, 2017 and shall conclude on June 30, 2020 with annual renewals at the sole option of the Morris/Palais/CC for the fiscal years ending July 1, 2021, 2022 and 2023. Scope of Work The security services to be provided and the work to be performed shall include but are not limited to the following: ESG shall provide certified/licensed, unarmed security guards for all public events and most private functions at the Morris Complex and special events at Century Center. 2. ESG shall be the exclusive provider of event security services for public shows, concerts, dances and other events open to the general public at Morris/Palais/CC as determined by the Executive Director of the VPA or his designee. While the security service shall be considered exclusive, this does not include the use of City, County, or State Police as may be required by the event or the Executive Director of VPA or security personnel traveling/provided by the visiting artist. ESG is expected to work in a congenial manner with all facility lessees to assure an orderly and safe event.
