<br />the recorded Plat of Wenger and Kreighbaum's First Addition to the City of South
<br />Bend, recorded April 2, 1892 in the Office of the Recorder of St. Joseph County,
<br />Indiana, in Plat Book 6, page 1. (18-7009-0370)
<br />(hereinafter collectively referred to as the Real Property) and;
<br />WHEREAS, pursuant to I.C. 36-9-6-3, the Board of Public Works of the City of South Bend
<br />(the "Board") has custody of and may maintain all real property of the City of South Bend; and
<br />WHEREAS, pursuant to I.C. 36-1-11-1(b), the City of South Bend, acting by and through
<br />the Board, may exchange or transfer property with an Indiana nonprofit corporation organized for
<br />educational, literary, scientific, religious, or charitable purposes that is exempt from federal income
<br />taxation under Section 501 of the Internal Revenue Code ("Indiana nonprofit corporation") upon
<br />such terms and conditions as the parties agree; and
<br />WHEREAS, the Family & Children's Center Properties Management, Inc. (FCC), is an
<br />Indiana nonprofit corporation and is desirous of acquiring the Real Property from the City so that
<br />FCC may construct a new facility upon the Real Property; and
<br />WHEREAS, the City, through the Board, is desirous of transferring the Real Property to FCC
<br />for a nominal sum so that the Real Property may be used for that purpose; and
<br />WHEREAS, FCC desires to acquire the Real Property free and clear of all structures which
<br />are currently located upon the Parcels; and
<br />WHEREAS, the South Bend Redevelopment Commission has agreed with the City to accept
<br />financial responsibility for the removal of such structures from the Real Property.
<br />NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF PUBLIC WORKS FOR
<br />THE CITY OF SOUTH BEND, INDIANA, AS FOLLOWS:
