PROFESSIONAL SERVICES CONTRACT <br />CITY OF SOUTH BEND <br />EXHIBIT A <br />SCOPE OF SERVICES <br />Contract No. HHF-2016-024 <br />PURPOSE <br />The Contractor shall serve as a trusted advisor to borrowers who are unemployed homeowners and who <br />have met the pre -eligibility requirements determined by the Hardest Hit Fund ("HHF") of the IHCDA's <br />Indiana Foreclosure Prevention Network ("IFPN"). The goal of the Contractor who accepts such referrals <br />is to provide intake services, triage counseling, eligibility screenings, advice on alternative solutions to <br />HHF, perform file underwriting to determine whether the client meets the specific HHF qualifications, <br />and to close loans of qualifying borrowers (the "Services"). The Contractor shall provide the Services in <br />compliance with the standards and guidelines for HHF in the IFPN/HHF Participant Manual, as amended <br />from time to time (the "Participant Manual"), which is available online at the "Partner" page at <br />www.877gethope.org and incorporated herein by reference. <br />During the Term of this Contract, the Contractor is expected to act in accordance with the "Description of <br />Services to be Performed" and the "Review Administration" sections set forth in this Exhibit A. <br />SERVICES <br />ACCEPTANCE OF REFERRALS <br />The Contractor shall be responsible for providing the Services in the Indiana counties specified in Section <br />1 of the Contract. The method by which the Contractor shall receive files shall be passive. IHCDA shall <br />refer HHF applicants to the Contractor through its online service portal, CounselorDirect, and the <br />Contractor shall handle all files exclusively within CounselorDirect as directed by IHCDA staff. In the <br />unlikely event that the Contractor determines that it has no capacity to accept additional referrals, the <br />Contractor shall immediately notify IHCDA. This notification should include the reason for lack of <br />capacity, the date by which the Contractor reasonably believes it can begin accepting referrals again, and <br />an alternative referral plan for HHF applicants residing in the counties in which the Contractor serves <br />until such time that the Contractor can begin accepting referrals. <br />COOPERATION WITH IHCDA <br />In addition to the distribution of certain marketing materials provided by IHCDA, the Contractor shall <br />cooperate with any and all requests by IHCDA to post links or other information on its existing website, if <br />any. The Contractor shall also cooperate with all requests for information and shall answer all inquiries <br />with respect to its operations as directed by IHCDA in a prompt manner, including without limitation, to <br />all inquiries related to audit and compliance reviews (whether onsite or offsite) of the Program, whether <br />such inquiries are made directly by IHCDA, its agents or any other third party. <br />CONFIDENTIALITY <br />All communication between the Contractor and IHCDA that includes borrower's Nonpublic Personal <br />Information shall be through encrypted e-mail, secure loan port or other similar secure electronic delivery <br />system.
