INTER-OFFICE MEMORANDUM DEPARTMENT OF PUBLIC WORKS DIVISION OF ENGINEERING TO: Hillary Horvath, Clerk Board of Public Works FROM: Zak Tebell, Project Engineer SUBJECT: Agreement for Professional Services – Project No. 124-003 Wastewater SCADA Refresh DATE: 10/6/2026 The PLC (Programmable Logic Controller, these are the electronic devices that control the lift stations and bridge SCADA to the pumps in the lift stations) contract for the SCADA project is primarily a professional system integration and technical services agreement involving the programming, configuration, testing, commissioning, and optimization of the City's existing and new control systems. The work requires specialized expertise to develop PLC logic, integrate field equipment with the SCADA platform, perform functional testing, and provide startup and operational support. While control hardware will be furnished as part of the implementation, the principal purpose of the contract is the provision of technical services necessary to achieve a fully functional and integrated SCADA system rather than the construction of a public improvement. The deliverables consist of engineering, software development, system configuration, commissioning, training, and ongoing integration support provided by a qualified systems integrator along with the physical installation of the PLCs. AGREEMENT FOR PROFESSIONAL SERVICES BY AND BETWEEN THE CITY OF SOUTH BEND, INDIANA AND AUTOMATION & CONTROL SERVICES, Inc. THIS AGREEMENT is made effective the 13th day of October 2026 by and between the City of South Bend, Indiana (the “City”), a municipal corporation organized and operating under the laws of the State of Indiana, acting by and through its Department of Public Works (the “Department”) and by Automation and Control Services, Inc., (the "Provider"), and each a “Party” and together the “Parties”. NOW THEREFORE, for and in consideration of the mutual covenants and promises contained herein, the City and Provider hereby agree as follows: Section 1. Duties of the Provider. The Provider shall provide the professional services (the “Services”) which are more particularly described at Exhibit A attached hereto and incorporated herein. If any conflict between this Agreement and Exhibit A exists, the terms of this Agreement shall control. The Provider certifies that it has sufficient experience and expertise to complete the Services and shall execute its responsibilities by following and applying the highest professional and technical guidelines and standards of care for projects of similar design and complexity at all times. Nothing in this Agreement shall preclude the Provider from performing work for other entities or individuals. However, the Provider agrees not to engage in any activity that is detrimental to the City’s business interests, creates a conflict of interest with the City, or otherwise interferes with the Provider’s provision of the Services. The Provider understands and agrees that it shall not commence any additional work or change the scope of the Services provided unless authorized in writing by the City. No claim for additional compensation shall be made by Provider in the absence of prior written approval of the Parties. The City shall provide all necessary information, details and locations to Provider in a timely manner. Any changes to this information shall be communicated to Provider at least one (1) week prior to the planned construction. In the event in which the installation and/or location needs to be rescheduled due to inclement weather, an alternate station may be selected by the City’s engineering team which allows station installation progress to proceed. Provider must adhere to the installation schedule established by the City’s engineering team. Failure to do so may result in late or reduced payment as the orderly and efficient installation of the hardware contemplated in the Services is necessary in order to keep the City’s Telemetry Control System properly functioning during this upgrade. Section 2. Consideration. In exchange for the Provider’s performance of the Services, and subject to the terms and conditions of this Agreement, the City will pay the Provider a total sum not to exceed One Million Four Hundred Forty-Five Thousand Six Hundred Sixty-Four Dollars ($1,445,664) (the “Contract Amount”). The City will pay the Contract Amount in installments within thirty (30) days of an undisputed invoice from the Provider (each a “Contract Installment”), as set forth in Exhibit A. The City will not be required to pay any Contract Installment if the City is not reasonably satisfied with the Provider’s performance under this Agreement or any material default or material breach of this Agreement by the Provider exists, as the City may determine in its sole discretion within the duty of reasonableness, good faith, or fair dealing. The sum of all Contract Installments will not exceed the Contract Amount, and the Provider will not incur or seek reimbursement for any expenses in excess of the Contract Amount. The payment terms as set forth in this paragraph supersede any terms presented by Provider in any supplement or exhibit to this Agreement. Section 3. Provider Use of Generative AI. To the extent applicable, Provider must disclose the extent to which any Generative Artificial Intelligence (“AI”) technology was used in providing the Services set forth in Exhibit A and which technology was used. Any deliverables or work product created in part by Generative AI shall be reviewed by a human being prior to submission to the City as finished work product. Failure to do so, including, but not limited to, correction of any mistakes in work product caused by Generative AI, shall be considered a performance deficiency pursuant to the terms of this Agreement. Provider shall not rely solely on Generative AI for any decision making required as part of the Services. Any disclosure required by this section shall be included in the Provider’s invoice. Providers shall not input any non-public City information into any Generative AI technology. Generative AI technology shall not be used to generate images, art, or video. As of the date of this contract, there is no AI planned for use in completion of this work by the Provider and any plans to do so must be approved in advance by the City. Section 4. Work Product; Ownership. The Provider will submit its work product to the City in accordance with the terms of the Scope of Services. Any and all work product submitted by the Provider to the City as part of the Provider’s performance of the Services will become the exclusive property of the City, and the City will have the right to use and reproduce copies of the Provider’s work product as the City determines in its sole discretion without compensation to the Provider except the compensation expressly provided for in this Agreement. Section 5. Term and Renewal Option. This Agreement shall be effective commencing on the Effective Date and shall end on the date when the Provider has completed the Services, expected to be no later than May 1, 2027. The Parties agree that this Agreement may be extended by mutual agreement of the Parties. Section 6. Assignment; Successors. The Provider shall not assign or subcontract the whole or any part of this Agreement to any other person or entity without the prior written consent of the City. Provider shall ensure that any assignee or subcontractor will comply with the terms hereof and shall be responsible for such compliance. Section 7. Relationship/Independent Contractor. Both Parties, in the performance of this Agreement, shall act in an individual capacity and not as agents, employees, partners, joint venturers or associates of one another. The employee(s) or agent(s) of one Party shall not be deemed or construed to be the employee(s) or agent(s) of the other Party for any purpose whatsoever. Neither Party will assume liability for any injury (including death) to any person(s), or damage to any property, arising out of the acts or omissions of the agents, employees or subcontractors of the other Party. This Agreement is strictly for the benefit of the Parties and not for any third party or person. Provider is solely responsible for compliance with federal, state and local laws and regulations relating to taxes and social security payments that may be required to be made in connection with the compensation provided under this Agreement. The City, however, may file informational returns with the United States Internal Revenue Service or similar state agency regarding payment made to Provider in accordance with this Agreement under conditions imposed by federal, state or local laws applicable to such payment. The City shall provide IRS Form 1099, if applicable. Section 8. Confidentiality. The Provider acknowledges that information which the City regards as confidential or proprietary in nature (the “Information”), may come to the knowledge of the Provider during the Provider’s performance of services. The Provider shall treat the Information as strictly confidential and agrees that the Provider will not, at any time or in any manner, either directly or indirectly, (i) use, or allowed to be used, any Information for the Provider’s own benefit or the benefit of any director, official, employee, or agent or any third party, or (ii) divulge, disclose, or communicate in any manner any Information to any third party without the written consent of the City. The Provider shall be responsible for maintaining the confidentiality of any Information in its possession, including taking appropriate measures to secure said Information against such uses and dissemination and to inform any person to which he allows to access such information of its confidentiality. Notwithstanding anything to the contrary contained in this Agreement, the Parties will adhere to their respective obligations under the Indiana Access to Public Records Act, and nothing herein will be construed to relieve either Party of such obligations. The confidentiality provisions of this Agreement remain in full force and effect after, and survive the termination of, the Term of this Agreement. Section 9. Indemnification; Responsibility for Own Acts. The Provider shall be responsible for its own acts and omissions and hereby agrees to defend, indemnify, and hold harmless the City, its officials, members, employees, and agents from any and all claims of any nature which arise from the performance by the Provider under this Agreement and from all costs and attorney fees in connection therewith, excepting for claims pertaining to this Agreement that arise out of the negligence or intentional acts of the City, its officials, members, employees, and agents. The indemnification obligations of the Parties under this Section shall survive the termination of this Agreement. Furthermore, the Provider shall, at its expense, conduct criminal background checks with respect to any of its employees, agents, volunteers, interns, or subcontractors of Provider, prior to entrusting such persons to perform work in connection with the Services. Such checks shall include convictions involving any violent crimes, sex crimes, or crimes of dishonesty. Unless the City provides prior written consent, Provider shall refrain entirely from entrusting persons with materially adverse criminal records to perform work in connection with the Services. Section 10. Funding Cancellation and Payments. In accordance with I.C. 6-1.1-18-4, payments by the City are subject to annual appropriation by its fiscal body. If the City makes a written determination that funds are not appropriated or otherwise available to support continued performance of this Agreement, this Agreement shall be cancelled. A determination by the City that funds are not appropriated or otherwise available to support continuation of the performance shall be final and conclusive. Section 11. Termination. This Agreement may be terminated by either Party at any time, in whole or in part, if a Party determines that such termination is in its best interest. Termination shall be affected by delivery to the Provider, or the City, as the case may be, of written notice at least thirty (30) days prior to the termination effective date, specifying the extent to which performance of services will or must cease. The Provider shall be compensated for satisfactory performance prior to the notice date of termination but in no case shall total payment made to Provider exceed the original consideration set forth in the Agreement. The City will not be required to pay any Contract Installment or be otherwise liable for any cost associated with the Provider’s performance of any Services after the date on which Services are required to cease pursuant to any Notice of Termination. Section 12. Counterparts. This Agreement may be executed in counterparts, all of which shall be deemed originals. Section 13. Performance. Provider shall strive to ensure that its performance under this Agreement complies with the expectations identified in the Scope of Services. The City may, at any time, provide written notice to Provider of any concern regarding Provider’s performance under the Scope of Services. If any such notice is delivered to Provider, Provider shall take reasonable steps to perform under the Scope of Services. Section 14. Remedies for Breach of Contract. The Provider’s failure to complete the Services in accordance with this Agreement will be considered a material breach. In the event of any breach of this Agreement by the Provider, the City may suspend all payments to the Provider and may pursue any and all remedies available at law or in equity. The Provider shall repay to the City any portion of the Contract Amount expended for matters not within the scope of the Services. Section 15. Governing Law; Jurisdiction; Compliance with Laws. This Agreement shall be construed and interpreted according to the laws of the State of Indiana without regard to conflicts of laws statutes. Any dispute arising under the terms of this Agreement shall be filed in any court of competent jurisdiction in St. Joseph County, Indiana. The Provider agrees to comply with, and shall cause any subcontractor hereunder to comply with, all applicable federal, state and local laws, rules, regulations and ordinances, and all provisions required thereby are hereby incorporated herein by reference. Provider shall comply with federal, state and local law in its hiring and employment practices and policies for any activity covered by this Agreement. Further, the City shall not be required to pay for Services that are inconsistent with or in violation of this Agreement nor for any Services performed in violation of federal, state or local statute, ordinance, rule or regulation Section 16. Dr. Martin Luther King Jr. Blvd. Suite 400 South Bend, IN 46601 RE: Telemetry Control System Upgrade Project Mr. Zak Tebell, We are pleased to submit our updated quotation for construction and installation related to your Telemetry Control System Upgrade project. We have used the 100% drawing set provided by Black & Veatch, the Site Station Location Map with site pictures, and each station’s Scope of Work along with our onsite discussions and site visit as the basis for our quotation. This revision adds RF filter relocation into the scope of 4 stations (072-Willowgate, 004-Sunnybrook, 015-Clay Fire, and 061-Cleveland) per request of the City after the J&K radio installations. We have also included surge protection devices at each station based on the hardware specification and counts provided by B&V. As before, after our review of the stations, we made the decision to split the quote into a hardware section and an installation labor section by individual station. This allowed us to define the Bill of Materials we are providing and our estimates for development and construction of the hardware “kit” needed for each. There are many different variations and it was easiest and most accurate to detail them individually even though many were of the same vintage and style. Some require adding a new controller with prewired I/O done onsite while other locations will need a completely new control panel built and tested in advance of installation. We have chosen to detail each one of the 60 included stations. It is our hope that this format assists in planning and prioritizing the individual stations for more efficient installation scheduling and project management. It should also be helpful if there are budgetary restrictions that would prevent all of the listed stations from being competed at one time. For pricing clarity, there are optional costs for the station listed as: 032 – Southfield. This station has an Option #1 for reusing the existing enclosure and re-mounting the panel components and routing the wiring through the wireway OR an Option #2 replacement of the PLC Control Enclosure into a new 2 – door above ground combination PLC and Motor Control Panel. This station has been individually detailed below. The other stations do not have any optional items, as they include retrofit panels and onsite I/O wiring changes. The stations listed as 033A – Inwood/Ironwood and the 081 – Blackthorn are stations which are quoted with an entirely new Enclosure and Panel and will also include I/O wiring and conduit additions. These stations have been included in our total standard station cost summary at the end of this quotation and have also been individually detailed below. We have included the same itemized approach regarding the installation labor section. We believe this more accurately captures our expectations of the time needed at each station and will assist with scheduling and coordination with B&V and the City liaisons. This also provides a framework for discussing our assumptions about access and timing without including high contingencies for each station. After completing a review of the station photos and comparing it to the scope needed, there are some concerns on a few stations about the capability to mount all of the new hardware in the designated locations. We believe we have addressed this sufficiently to ensure we can complete the component replacement and wiring for all stations. If needed, some of the tighter footprint stations may require the use of an additional small enclosure & panel mounted directly to the existing enclosure to house some of the components. This would be done only on an as needed basis and would be a small additional charge based on actual needs. This would be done only if required and is still a much lower cost than providing a larger size completely new panel. We believe our quotation format reduces the uncertainty and risk while ensuring a successful implementation for everyone involved. As mentioned above, the hardware selected is standard and typically used by us in our panel shop. In order to overcome some of the price challenges related to Tariffs and recent cost increases, we have worked with Rockwell Automation to provide competitive special pricing with assurances of both price stability and inventory availability for the duration of this project. Utilizing our long-term distributors, we have firm control over the material supply aspects of the project. Direct coordination with our vendors is a key to smooth material delivery and direct control of our labor allocation helps us control costs. The labor mix will vary depending on the specific skillset required at each stage of building and installation for each of the stations. We have internally verified our I/O counts and generated the quote detail based on those specific module counts. We have primarily utilized the B&V provided bid materials and their resources, Brandon Schulz & Steve Yakimow, for guidance on the station specifics as they are the specified Engineer and Programmer for this project. We have discussed some timeline and proposed installation plans utilizing some alternating weeks throughout the project to best complete the onsite installation work. I believe we have accounted for and included the needed parts and installation labor to ensure the designed and proper operation of the overall telemetry system. We have detailed the Station Hardware Kits with a major components bill of materials for each station. The Hardware portion includes the drawing development, revisions, construction and wiring as needed for each station, and in-house I/O verification. We will complete setup and testing of the hardware components before shipment from our facility. Listed below the hardware cost is an associated installation cost for each station. This includes station materials review, installation scheduling, component purchasing, drawing verification, component mounting, onsite I/O wiring, verification, and travel to and from the individual stations. L306ER PLC processor w/End Cap • Freight for components to Engineer Hardware cost as described above is $8,363 It is important to note that after reviewing the initial station I/O counts, the originally specified Allen- Bradley 5069–L320ER Processor was NOT REQUIRED for the majority of the stations listed. This is due to the somewhat arbitrary number of I/O cards that Rockwell chose to support with each “level” of processor. We have now updated the processor for the majority of the stations to the 5069-L306ER per the 100% drawings. These processors are interchangeable and only 3 stations would require the original L320ER. The other stations currently have no more than 6 IO cards needed, so the 5069- L306ER is now listed for these stations. Again, should the need arise to add more IO, a processor change could be done at that time. PLEASE NOTE: We have included RF filter relocation at the 4 stations specified above. In the future, if there are additional stations that require a separate enclosure for an RF filter, we have provided a universal per-station cost of $3,357 to include this add-on. We have also included surge protection devices at each station for total panel protection and for circuit protection between panels. We have added one panel surge protector at every station. In addition, we have added circuit protectors at 3 stations based on locations and device counts provided by B&V. These stations include 001-Vaness, 030-New Cleveland, and 033A-Inwood/Ironwood. We have not included additional circuit protectors at any other station besides these three. We have excluded the following from this proposal: • New Utility (Power, Air, Water, or Hydraulics) connections to any equipment • Concrete Pad Installation • Instrumentation (Flow, Level, Pressure transmitters, etc.) • Costs associated with Undisclosed, Incorrect, or incomplete information in the project bid information • PLC or HMI Programming • Radio Configuration • Hourly Labor Increase for station installations occurring beyond February 1, 2027. Labor Cost for installations completed after this date will be adjusted for the stations remaining to be built and installed. This amount is historically between three and nine dollars per hour. We prefer this method to avoid a contingency for all stations at this time. • Supplier related cost increases for components purchased beyond March 31, 2027 when many of the negotiated rates included in our current pricing are set to expire. Project Cost Summary 59 Standard Stations w/ B&V Development Parts Standard Station Hardware Kit Cost $ 1,050,785.00 Standard Station Installation Cost $ 340,812.00 Total Standard Station Project Cost $ 1,391,597.00 1 Southfield Station Option New Enclosure Hardware Cost $ 41,254.00 New Enclosure Installation Cost $ 12,813.00 New Enclosure Station Cost $ 54,067.00 Total Project Cost w/Southfield Option $ 1,445,664.00 NOTE: The order of installation and completion is not sequential as indicated by the station numbers listed above. The City will provide notice of the sequence of panel construction initiation and onsite installation via the City’s designated Project Manager. The installation will be coordinated upon completion of the control panel “kit” for each station, confirmation of completion of the related PLC programs, availability of the Parties required to complete the installation work, and weather-related conditions. Our standard payment terms are as follows for the Station Hardware Component Kits: • 50% of hardware kit cost per station due NET 30 upon approval of provided detailed panel layout & wiring diagrams for each station final Bill of Materials of each Station’s Hardware Kit as defined above. • 50% due NET 30 upon ACS completion of FAT at ACS Facility per station and hardware shipment from our facility to the designated delivery location per station. Our standard payment terms are as follows for Installation: • Balance due NET 30 upon completion of installation and City acceptance of the completed station and receipt of as-built drawings per station.
