7.01 Basis of Payment —Lump Sum A. Using the procedures set forth in Paragraph 2.01, Owner shall pay Engineer as follows B. Except for excluded services as provided in Section III of Scope of Work below, engineer's sole compensation for satisfactory performance of all services required or rendered pursuant to this Agreement shall not exceed $288,100.20 paid on the basis of a fixed monthly fee of $17,239.35; plus a not to exceed On Call Maintenance monthly fee of $4,769.00 in accordance with the Price of Services contained in Attachment "D". Such fee includes all parts, labor and expenses incurred by Engineer in performance of the services. C. Owner may request by the Task Order process the removal, addition or redeployment of Logicover, Repeater or Gateway equipment on its RT-DSS system. The Engineer will accordingly add or remove the monthly subscription fee for the Physical Site Monthly Service and the Connection Fees per the schedule on Attachment "D". The addition or removal of subscription fees will be effective on the first of the month following the completion of the Task Order. D. The Owners request for equipment removal, addition or redeployment on the RT- DSS will be known as "RT-DSS Enhancement" will be based on the fee schedule in Attachment "D". These funds will be managed by the Task Order process. These will be billed monthly on a time and materials basis only as they are used. The total annual sum is not to exceed $24,000.00. E. Engineer's sole compensation for satisfactory performance of all excluded services, as listed in Section III of Scope of Work, required and authorized in writing by the Owner will be paid on a time and materials basis in accordance with the price list contained in Attachments "D" & "E". F. Engineer shall render monthly statements following the end of the respective month for services performed in the preceding month. Statements will be payable in the normal course of Owner business. But in no event later than 30 calendar days following receipt of the detailed statement. G. The portion of the compensation amount billed monthly for Engineer's services will be based upon Engineer's estimate of the percentage of the total services actually completed during the billing period. a. Owner will not make changes in the monitoring equipment or software at the unit sites that would preclude Engineer from being able to service Owner's equipment, except as authorized in writing by Engineer. b. Owner will not make repairs or perform maintenance or attempt to do so on the telemetry monitoring equipment at the unit sites, except as authorized in writing by Engineer.
