completion of construction of the Garage, provide Grantee, or its successors and/or assigns, with <br /> a number of parking spaces within the first three (3) levels of the Garage at least equal to the <br /> number of parking spaces then existing on the Grantor Property, and such additional number of <br /> parking spaces within the first three (3) levels of the Garage as Grantee shall reasonably require <br /> to satisfy its parking requirements with respect to the Grantee Property, as determined by <br /> Grantee; provided, however that the total number of such parking spaces provided in the Garage <br /> shall not exceed forty-eight (48); (ii) during the construction of the Garage, provide Grantee, or <br /> its successors and/or assigns, with a number of temporary replacement surface or garage parking <br /> spaces within two (2) blocks of the Grantor Property at least equal to the number of parking <br /> spaces then existing on the Grantor Property, and such additional number of temporary <br /> replacement surface or garage parking spaces within two (2) blocks of the Grantor Property as <br /> Grantee shall reasonably require to satisfy its parking requirements with respect to the Grantee <br /> Property, as determined by Grantee; provided, however that the total number of such temporary <br /> replacement parking spaces shall not exceed forty-eight (48); and (iii) become the Maintenance <br /> Agent for all purposes under this Agreement. In the event Grantor, or its successors and/or <br /> assigns, does construct the Garage, the term "Parking Lot" shall be replaced with "Garage" <br /> wherever it appears in this Agreement, and this Agreement shall survive and remain effective in <br /> all other respects, except as may otherwise be modified or amended in accordance herewith. <br /> [ signatures begin on following page] <br /> {20142245.DOC) - 6 - <br />
