5 <br />Officer of the Company shall be the Chief Executive Officer of the Member and serve on the Board <br />of Managers. The Member may create such offices, appoint such officers and delegate thereto such <br />responsibility or authority as such member determines to be appropriate. <br /> <br />Section 4.6. Day to Day Management. Unless otherwise provided in accordance with <br />Section 4.5., day-to-day operations and management of the business and affairs of the Company <br />shall be vested in the Chief Executive Officer of the Company. <br /> <br />Section 4.7.
