4. Securiy De osit: Operator shall make a security deposit payment of $1,000.00 due upon <br />receiving of license from city of South Bend Indiana, which shall be returned to Smart <br />Park when either party cancels or makes changes WIHTIN 15 days after SMART <br />PARKING INC vacates property. Landlord's obligation to return the security deposit to <br />Smart Park is conditioned on receipt by Landlord of all rent due under this agreement. <br />5. Additional Rules and Regulations. Tenant use of the Parking Lot shall be subject to the <br />city/state Rules and Regulations and must stay in compliance at all times. ALL SIGNS <br />NEEDS TO BE APPROVED BY LANDLORD, prior to OPERATOR displaying signs <br />on premise. SIGNS must mention COLFAX PLACE visitors or tenants <br />6. UsetTiming of parking lot. During the agreement, tenant may use the Parking Spaces <br />solely for parking of automobiles for revenue collection. <br />7. Responsibilities and Duties of TENANT <br />Smart Parking Inc (Operator) shall be responsible for all operating costs such as: <br />(a) Supply equipment(s) necessary for the operation of the Parking Lot in a <br />professional manner, all its business operating costs <br />(b) Pay annual license fee to city of South Bend for parking lot license <br />(c) Operate the Parking Lot in compliance with all applicable statutes, laws, <br />ordinances, rules and regulations of any governmental authority having <br />jurisdiction over the Parking Lot, and pay annual parking lot license fee to city of <br />South Bend. <br />(d) 13AYS & TIMES for PAY PARKING allowed: AFTER BUSINESS HOURS <br />of COLFAX PLACE: ALLOWED 'TIMINGS: only during MONDAY TO <br />F'RIDAY after 6pm and ALL DAY SATURDAY & SUNDAY <br />8. Alterations. Tenant shall not make any alterations, additions or improvements to the <br />Parking Lot without Lessor's prior written consent. All such changes made by either of <br />the parties hereto upon the Parking Lot shall be the property of Landlord and shall remain <br />upon the property and be surrendered by Tenant upon the Expiration Date. <br />9. Assignment and Subletting. Lessee (Tenant) shall not assign this Agreement nor <br />sublicense all or any part of the Parking Lot without the prior written consent of <br />Lessor/Landlord. <br />10. Insurance. (Tenant) shall acquire and maintain public liability insurance, insuring Tenant <br />and Landlord Two Million Dollars ($2,000,000) and add landlord as additional insured. <br />
