agreement and contains the entire agreement regarding the matters contained herein. No <br />amendments or variations of the terms of this Agreement shall be made without the <br />express written consent of Ivy Tower and the City. This Agreement is the product of an <br />arms - length negotiation between counsel for the City and counsel for Ivy Tower, and <br />there shall be no presumption or construction against either the City or Ivy Tower arising <br />from the drafting of the Agreement. <br />20. Subject to the provisions herein, the City's obligations herein are absolute <br />and shall remain in force even if Buyer, Union Station (including its subsidiaries, <br />divisions, shareholders, members, officers, directors, attorneys, agents, employees, <br />spouses, relatives, heirs, successors and assigns, and any of their respective affiliates) or <br />others breach or otherwise violate any agreements they enter into with the City relating to <br />the Property. <br />21. This Agreement will be construed in accordance with the laws of the State <br />of Indiana. <br />21 The Agreement may be executed by the Parties hereto in separate <br />counterparts, each one of which shall be deemed as original, but all such counterparts <br />collectively shall constitute one and the same instrument. Ivy Tower and The City each <br />represent that the person executing this Agreement is duly authorized and empowered to <br />enter into this Agreement. <br />
