UNIFORMED SECURITY A(iREEMENT This uniformed security agreement "Agreement" is made and entered into this 19t' day of December, 2018, by and between Magnum Security Services, Inc., an Indiana Corporate Agency specializing in providing security officers to patrol private property, hereinafter referred to as the "Agency", and The City of South Bend -Water Works, hereinafter referred to as the "Client", located in South Bend, Indiana. IT IS THEREFORE AGREED 1) The Agency will furnish uniformed guards, subject to Client's approval, to protect the Client's property. The exact number of hours of duty will be provided by the Client, provided however that the number of hours shall not equal less than 40 total hours per week. Duties will include, but not be limited to: access control, monitoring, emergency responses, notifications, escorts, etc. 2) For the services herein agreed to be performed, the Client shall pay the Agency at the rate of $ 13.10 per man hour. This rate will remain unchanged for a minimum period of two years, commencing on the 14th day of January, 2019. A) A time -and -one-half per hour holiday charge will be incorporated on the six Designated holidays: New Year's Day, Memorial Day, Fourth of July, Labor Day, Thanksgiving and Christmas Day (if applicable). B) The Client agrees to pay the Agency a one time charge of 0 hours for initial training and orientation. 3) The Client will pay the Agency at the aforementioned rate for any time spent by any Agency employees in connection with any court action that originated on the Client's property while this agreement is in effect. 4) The Agency will furnish the Client with Daily Activity Logs covering all hours spent by its employees in carrying out the terms of this agreement. 5) The Agency will furnish the Client with Certificates of Insurance. The Insurance will include General Liability, Workman's Compensation and Owned, Non - Owned Automobile Liability Insurance. 6) At the end of each week, the Agency will deliver to the Client a statement showing the amount of compensation due it for services performed within that week. Payment will be received by the Agency on a Net 30 day term. CONFIDENTIAL
