This is EXHIBIT C, consisting of pages, referred to <br />in and part of the Agreement between Owner and <br />Engineer for Professional Services dated , <br />Payments to Engineer for Services and Reimbursable Expenses <br />COMPENSATION PACKET BC-5: Basic Services — Direct Labor Costs Plus Overhead Plus a <br />Fixed Fee <br />Article 2 of the Agreement is supplemented to include the following agreement of the parties; <br />ARTICLE 2 — OWNER'S RESPONSIBILITIES (DELETED) <br />C2.01 Compensation for Basic Services (other than Resident Project Representative) — Direct Labor <br />Costs Plus Overhead Plus a Fixed Fee Method of Payment <br />A. Owner shall pay Engineer for Basic Services set forth in Exhibit A, except for services of <br />Engineer's Resident Project Representative, if any, as follows: <br />1. An amount equal to Engineer's Direct Labor Costs plus overhead for the services of <br />Engineer's personnel engaged directly on the Project, plus Reimbursable Expenses <br />estimated to be $ , plus Engineer's Consultant's charges, if any, <br />estimated to be $ plus a fixed fee of $ ..._._ <br />2. Engineer's Reimbursable Expenses Schedule is attached to this Exhibit C as Appendix 1. <br />3.
