JEFFERSON BLVD SOUTH BEND IN 146601 Equipment Description: Term: (1:) IMAGERUNNER ADVANCE C3,5301 11; (1) IMAGERUNNER ADVANCE C55501 11; 60 Months (1) IMAGECLASS MF525D1,r1,d'; (1), IMAGERUNNER ADVANCE 45351111; and (2) IMAGECLASS MF735CDW WHEREAS, Canon Solutions America, Inc. ("CSK), and the above -described Customer, together with any Guarantors, have determined that it is for their mutual benefit to enter into this Unified Lease Agreement Addendum ("Addendum") to the above -described Unified Lease Agreement ("Agreement"). All capitalized terms used below that are not defined in this Addendum shall have the imeanings set forth in the Agreement. NOW, THEREFORE, for good and valuable consideration, intending to be legally bound, the parties hereby agree as follows: Anything in the Agreement to the contrary notwithstanding, and subject to all of the terms and conditions set forth in this Addendum, the terms and conditions of the Agreement shall be modified as follows: a. Paragraph 5* Paragraph 5.4 is amended by (i) deleting "before and after the Lease Term ends" and replacing it with "with respect to, claims that arise prior to the Listed Item's return to, Lessor"; and (ii) inserting the following at the end of existing text: "CSA shall indemnify, defend and hold Customer harmless for any loss, expense and liability incurred by Customer from third party claims, for bodily injury (including death) or tangible property damage (collectively, "Claims"), to the extent resulting from CSA's willful misconduct or negligent performance of services pursuant to this Agreement; provided Customer shall give CSA prompt written notice of the Claim, allow CSA sole control over the defense and settlement thereof and provide CSA with such: assistance, at CSA's expense, as CSA shall reasonably request,". e. Paragraph 6.2: Paragraph 6,.2 is amended by (i) deleting "public liability and" from subsection (b) in the second sentence; (ii) deleting "$5,000" and replacing with "'$100,000" in the third sentence; and (iii) adding the following sentence to the end of the paragraph,: "You shall self -insure with respect to liability insurance."' f. Paragraph 9.1; Paragraph 9.1 is amended by (i) deleting "INEW JERSEY" and replacing with "INDIANA" in the first sentence; and (ii) deleting "CAMDEN OR BURLINGTON COUNTY, NEW JERSEY" and replacing with "ST. JOSEPH, INDIANA" in the second'sentenice. 2. It is expressly agreed by the parties that this Addendum is supplemental to the Agreement, and that the provisions thereof, unless specifically modified herein, shall remain in full force and effect and! shall apply to this Addendum as though they were expressly set forth herein. 3. In the event of any conflict or inconsistency between the provisions of this Addendum and any provisions of the Agreement, the provisions of tHs Addendum shall in all', respects govern and control.
