Section 6.09 Section HeadinLys <br />Section and other headings in this License Agreement are for reference purposes <br />only, and are in no way intended to describe, interpret, define or limit the scope or extent of any <br />provision hereof. <br />Section 6.10 Governing Law <br />This License Agreement shall be governed by the laws of the province of Ontario <br />and Canada therein. The United Nations Convention on Contracts for the International Sale of <br />Goods (UNCCISG) does not apply to this Agreement. <br />Section 6.11 Trial by Jury <br />Organization and Harris hereby waive, to the fullest extent permitted by <br />applicable law, the right to trial by jury in any action, proceeding or counterclaim filed by any <br />party, whether in contract, tort or otherwise, relating directly or indirectly to this License <br />Agreement or any acts or omissions of Harris in connection therewith or contemplated thereby. <br />Section 6.12 Invaliditv <br />The invalidity or unenforceability of any provision or covenant contained in this <br />License Agreement shall not affect the validity or enforceability of any other provision or <br />covenant herein contained and any such invalid provision or covenant shall be deemed to be <br />severable. <br />Section 6.13 Waiver <br />A term or condition of this License Agreement may be waived or modified only <br />by written consent of both parties. Forbearance or indulgence by either party in any regard shall <br />not constitute a waiver of the term or condition to be performed, and either party may evoke any <br />remedy available under the License Agreement or by law despite such forbearance or notice. <br />Section 6.14 Counterparts <br />This License Agreement may be executed in counterparts (whether by facsimile <br />signature, in an email PDF or otherwise), each of which when so executed shall constitute an <br />original and all of which together shall constitute one and the same instrument. <br />Section 6.15 Further Assurances <br />The parties shall do all such things and provide all such reasonable assurances as <br />may be required to consummate the transactions contemplated hereby, and each party shall <br />provide such further documents or instruments required by any other party as may be reasonably <br />necessary or desirable to effect the purposes of this License Agreement and carry out its <br />provisions. <br />-14- <br />
