j. Order of Precedence. Any inconsistency or ambiguity in this Contract <br />shall be resolved by giving precedence in the following order: <br />(1) This Contract, <br />(2) Attachments prepared by INDOT, <br />(3) Attachments prepared by the Contractor. <br />All of the foregoing are incorporated fully by reference. <br />k. Severability. Wherever possible, each provision of this Contract <br />shall be interpreted in such manner as to be effective and valid <br />under applicable law, but if any provision of this Contract shall be <br />prohibited by or invalid under applicable law, such provision shall <br />be ineffective only to the extent of such prohibition or invalidity, <br />without invalidating the remainder of such provision or the <br />remaining provisions of this Contract. <br />1. Subsequent Acts. The parties agree that they will, at any time and <br />from time to time, from and after the execution of this Contract, <br />upon request, perform or cause to be performed such acts, and <br />execute, acknowledge and deliver or cause to be executed, <br />acknowledged and delivered, such documents as may be reasonably <br />required for the performance by the parties of any of their <br />obligations under this Contract. <br />m. Substantial Performance. This Contract shall be deemed to have been <br />substantially performed only when fully performed according to its <br />terms and conditions and any modification thereof. <br />n. Taxes. The State is exempt from most state and local taxes and many <br />federal taxes. The State will not be responsible for any taxes levied <br />on the CITY as a result of this Contract. <br />o. Previous Contracts Superseded or Revoked. This Contract supersedes <br />and revokes any previous Contract between said parties hereto <br />pertaining to traffic signal maintenance. <br />p. Authorizations. Any person executing this Contract in a <br />representative capacity hereby warrants that he/she has been duly <br />authorized by his/her principal to execute this Contract on such <br />principal's behalf. <br />REMAINDER OF PAGE INTENTIONALLY LEFT BLANK <br />Page 26 of 53 Pages <br />
