El1) <br />OFFICER'S CERTIFICATE <br />Reference is made to the Continuing Disclosure Undertaking Agreement dated as of March 1, <br />2008, (the "Governing Document') between the South Bend Redevelopment Authority and the <br />South Bend Redevelopment Commission (collectively, the "Obligor ") and U.S. Bank National <br />Association ( "Countetparty"). <br />The undersigned officer hereby certifies to the Counterparty that: <br />1. I have read all relevant sections of the Governing Document relating to Material <br />Event Disclosure and the definitions related thereto. <br />2. I have made such examination or investigation as is necessary or appropriate in <br />order to make the statements contained herein. <br />3. I have made such examination or investigation as is necessary to enable ire to <br />express an informed opinion as to whether or not a Material Event, as defined in the Governing <br />Documents has occurred during the fiscal year ended December 31, 2013. <br />4.
