AMCNDMENT TO GOLF COURSE OPERATIONS AND A~1ANAGEMENT ACKI+ EMEN'1' BLACKTHORN GOLF COURSE This Amendment (the °Amendment"), is made as of this day of 2008 by and between the South Bend Redevelopment Conunission. «overning body of the City of South Bend Department of Rede~°elopment ("Owner~~). and Mcado~~brook Goll Group. Inc. (..Mana~,cr'~). WHEREAS. Owner and Manager entered into GOLF COURSE OPERATIONS AND MANAGEMENT AGREEMENT BLACTHORN GOLF COURSE on Junc 20. 2003. (the "~~ana~~cmcnt A~zreement"), for the management of the Blackthorn Golf Course located in South Bend, Indiana: W[IF.REAS, the parties ha~eto desire to amend the Management Agreement. NOW THEREFORE, in consideration of the mutual promises, covenants and conditions contained in the Management Agreement and contained herein. and ft~r other good and valuable consideration. the receipt and sufticiency of ~~~hich are hereby acknowledged. the Parties hereto covenant and a~~rcc that this Amendment shall amend and become part of the Management Agreement as follows: Section 4.01 is stricken and replaced with the follow ing: Section 4.01. Term. The term of this Agreement shall be six (6) years. The services of Manager shall commence on January 1. 2004. and shall terminate December 3 L 2009 unless terminated sooner as provided herein. It is the intent of Owner and 'Manager that nothing in this Article IV affecting the term of this Agreement is intended to be contrary to or interfere with any Internal Revenue regulations as the same may be applicable to the tax-exempt status of bonds issued by Owner to f3nancc or rctinance the construction of the Golf Course.
