ASSIGNMENT OF INTEREST IN MEMORANDUM OF UNDERSTANDING This ASSIGNMENT OF INTEREST is made as of the 5th day of March , 2010 (the “Assignment”), by NORTHEAST NEIGHBORHOOD REVITALIZATION ORGANIZATION, INC., an Indiana nonprofit corporation, with its principal office in South Bend, Indiana (the “Grantor”), in favor of the CITY OF SOUTH BEND, INDIANA, DEPARTMENT OF REDEVELOPMENT acting by and through the South Bend Redevelopment Commission, with its principal office located at 227 W. Jefferson Blvd., Suite 1200, South Bend, Indiana 46601 (the “Grantee”): WHEREAS, the Grantor has entered into a Memorandum of Understanding with the Housing Authority of South Bend (the “Owner”) dated August 30, 2006 (the “MOU”) for the property described at Exhibit A (the “Property”) providing for the sale of the Property to the Grantor from the Owner, which MOU is assignable and currently not recorded with the St. Joseph County Recorder’s Office; and WHEREAS, the Grantee desires to obtain the Property and Grantor desires to transfer its interest the Property to the Grantee; and NOW, THEREFORE, for Ten and 00/100 Dollars ($10.00) and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Grantor hereby assigns its interest in the Property described at Exhibit A and the MOU, a copy of which is attached hereto as Exhibit B, to the Grantee and the Grantee hereby accepts such interest, including all rights and obligations thereunder, from the Grantor. The undersigned persons executing and delivering this Assignment on behalf of each of the parties respectively represent and certify that they are the duly authorized and are fully empowered to execute and deliver this Assignment and that all necessary action has been taken and done. This Assignment represents the entire agreement between the two (2) parties. (Remainder of page intentionally left blank)
