Owner's Project, of which Engineer's services under this Agreement are a part, is generally identified as follows: EmNet RT-DSS Service Agreement 2016-2017 ("Project"). Engineer's Services under this Agreement are generally identified as follows: EmNet RT-DSS Service Agreement 2016-2017 Owner and Engineer further agree as follows: 1.01 Basic Agreement and Period of Service A. Engineer shall provide, or cause to be provided, the services set forth in this Agreement. If authorized by Owner, or if required because of changes in the Project, Engineer shall fumish services in addition to those set forth above. Owner shall pay Engineer for its services as set forth in Paragraphs 7 and 9. B. Engineer shall complete its services within a reasonable time, or within the following specific time period: Contract is effective from July I, 2016 to June 30, 2017. C. If the Project includes construction -related professional services, then Engineer's time for completion of services is conditioned on the time for Owner and its contractors to complete construction not exceeding _12_ months. Page 1 complete construction exceeds the number of months indicated, then Engineer's period of service and its total compensation shall be appropriately adjusted. 2.01 Payment Procedures A. Invoices: Engineer shall prepare invoices in accordance with its standard invoicing practices and submit the invoices to Owner on a monthly basis. Invoices are due and payable within 30 days of receipt. In addition, Engineer may, after giving seven days written notice to Owner, suspend services under this Agreement until Engineer has been paid in full all amounts due for services, expenses, and other related charges. Owner waives any and all non -disputed claims against Engineer for any such suspension. 3.01 Termination A. The obligation to continue performance under this Agreement may be terminated: 1. For cause, a. By either parry upon 180 days written notice in the event of substantial failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. Failure to pay Engineer for its services is a substantial failure to perform and a basis for termination. b. By Engineer: 1) upon seven days written notice if Owner demands that Engineer furnish or perform services contrary to Engineer's responsibilities as a licensed professional; or 2) upon seven days written notice if the Engineer's services for the Project are delayed for more than 90 days for reasons beyond Engineer's control. Engineer shall have no liability to Owner on account of a termination by Engineer under Paragraph 3.01.A. Lb. c. Notwithstanding the foregoing, this Agreement will not terminate as a result of a substantial failure under Paragraph 3.01.A.1.a if the party receiving such notice begins, within seven days of receipt of such notice, to correct its substantial failure to perform and proceeds diligently to cure such failure within no more than 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall EJCDC E-920 Short Form of Agreement Between Owner and Engineer for Professional Services. For convenience, by Owner effective upon Engineer's receipt of written notice from Owner. B. The terminating party under Paragraph 3.0I.A may set the effective date of termination at a time up to 30 days later than otherwise provided to allow Engineer to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. C. In the event of any termination under Paragraph 3.01, Engineer will be entitled to invoice Owner and to receive full payment for all non -disputed services performed or furnished in accordance with this Agreement and all reimbursable expenses incurred through the effective date of termination. 4.01 Successors, Assigns, and Beneficiaries A. Owner and Engineer are hereby bound and the successors, executors, administrators, and legal representatives of Owner and Engineer (and to the extent permitted by Paragraph 4.01.13 the assigns of Owner and Engineer) are hereby bound to the other party to this Agreement and to the successors, executors, administrators, and legal representatives (and said assigns) of such other party, in respect of all covenants, agreements, and obligations of this Agreement. B. Neither Owner nor Engineer may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. C. Unless expressly provided otherwise, nothing in this Agreement shall be construed to create, impose, or give rise to any duty owed by Owner or Engineer to any contractor, subcontractor, supplier, other individual or entity, or to any surety for or employee of any of them. All duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of Owner and Engineer and not for the benefit of any other party. 5.01 General Considerations A. The standard of care for all professional engineering and related services performed or furnished by Engineer under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services. Engineer makes no warranties, express or implied, under this Agreement or otherwise, in connection with Engineer's services. Subject to the foregoing standard of care, Engineer and its consultants may use or rely upon design elements and information ordinarily or customarily furnished by others, including, but not limited to, specialty contractors, manufacturers, suppliers, and the publishers of technical standards. B. Engineer shall not at any time supervise, direct, control, or have authority over any contractor's work, nor shall Engineer have authority over or be responsible for the means, methods, techniques, sequences, or procedures of construction selected or used by any contractor, or the safety precautions and programs incident thereto, for security or safety at the Project site, nor for any failure of a contractor to comply with laws and regulations applicable to such contractor's furnishing and performing of its work. C. This Agreement is to be governed by the law of the state or jurisdiction in which the Project is located. D. Insurance schedule is provided in attachment C E. Engineer neither guarantees the performance of any contractor nor assumes responsibility for any contractor's failure to furnish and perform its work in accordance with the contract between Owner and such contractor. Engineer is not responsible for variations between actual construction bids or costs and Engineer's opinions or estimates regarding construction costs. F. Engineer shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any of their agents or employees or of any other persons (except Engineer's own employees) at the Project site or otherwise furnishing or performing any construction work; or for any decision made regarding the construction contract requirements, or any application, interpretation, or clarification of the construction contract other than those made by Engineer. G. Force Maieure. Neither party shall be obligated to perform, and neither party shall be deemed to be in default of its performance, if prevented by (i) fire not caused by the act or omission of the party, earthquake , hurricane, wind, flood , act of God, riot or civil commotion occurring at the unit site which the party could not reasonably have foreseen and provided for; (ii) any law, ordinance, rule, regulation, or order of any public or military authority stemming from the existence of economic or energy controls, hostilities, war, or governmental law and regulation; or (iii) labor dispute which results in a strike or work stoppage affecting the unit site or services described in this Agreement other than those occurring as a result of an act or omission of Engineer; provided, however, the event of force majeure was not in the reasonable control of the part EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services. All new products, including, but not limited to, parts, manufactured by Engineer will be free from defects in material and workmanship for up to 1 year following the date of installation by Engineer. During this warranty period, the product will be promptly repaired or replaced, at Engineer's sole option. Warranty repairs and replacements will be performed only by Engineer or its authorized representative. Any unauthorized repair or replacement, including without limitation opening up a monitor, will void this product warranty. This warranty is available to Owner as the original purchaser of the product and only if it has been installed and maintained by Engineer. This warranty does not apply to damage by catastrophes of nature, fire, explosion, acts of God (including, but not limited to, lightning damage and power surges), accidents, improper use or service other than by Engineer, damage during transportation, or other similar causes; provided, however, such causes are beyond Engineer's control Liquidated Damages. Liquidated damages will be linked to Engineer uptime performance per telemetry site per year. Engineer will achieve 95% telemetry uptime for critical sites. Critical sites are defined as outfall, model and interceptor nodes. All other nodes are non -critical. Engineer will achieve 85% telemetry uptime for non -critical sites. A monthly report with the invoice will be submitted by Engineer that shows telemetry node uptime. According to Attachment "D", the total price for Monthly Services is $17,239.35 per month. If Engineer meets the respective 85% non -critical node and 95% critical node uptime guarantee then this amount will be billed in full each month. If the above uptime guarantee is not met, then Engineer will only bill for the percentage of data that is available to the Owner. However, Engineer will not be penalized if. a. Any sensor site or associated equipment is removed at the direction of Owner. b. Any sensor site associated with line powered equipment has the electric power disconnected by the Owner, electric company, or any other third party. c. Downtime is due to repairs or modifications executed by action of the Owner, its employees, agents, contractors or invitees. d. Downtime is due to events beyond the Engineer's control such as, but not limited to, vandalism, construction by others that cut electric lines, unusually heavy debris that destroys or otherwise disables sensor monitors, or acts of God (e.g., lightning strikes, All documents prepared or fumished by Engineer are instruments of service, and Engineer retains an ownership and property interest (including the copyright and the right of reuse) in such documents, whether or not the Project is completed. Owner shall have a limited license to use the documents on the Project, extensions of the Project, and for related uses of the Owner, subject to receipt by Engineer of full payment for all services relating to preparation of the documents and subject to the EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services. Page 5 following limitations: (1) Owner acknowledges that such documents are not intended or represented to be suitable for use on the Project unless completed by Engineer, or for use or reuse by Owner or others on extensions of the Project, on any other project, or for any other use or purpose, without written verification or adaptation by Engineer; (2) any such use or reuse, or any modification of the documents, without written verification, completion, or adaptation by Engineer, as appropriate for the specific purpose intended, will be at Owner's sole risk and without liability or legal exposure to Engineer or to its officers, directors, members, partners, agents, employees, and consultants; (3) Owner shall indemnify and hold harmless Engineer and its officers, directors, members, partners, agents, employees, and consultants from all claims, damages, losses, and expenses, including attorneys' fees, arising out of or resulting from any use, reuse, or modification of the documents without written verification, completion, or adaptation by Engineer; and (4) such limited license to Owner shall not create any rights in third parties. K. To the fullest extent permitted by law, Owner and Engineer (1) waive against each other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project, and (2) agree that Engineer's total liability to Owner under this Agreement shall be limited to $50,000 or the total amount of compensation received by Engineer, whichever is greater. L. The parties acknowledge that Engineer's scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos, PCBs, petroleum, hazardous substances or waste as defined by the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. §§9601 et seq., or radioactive materials). If Engineer or any other party encounters a Hazardous Environmental Condition, Engineer may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until Owner: (1) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, remediate, or remove the Hazardous Environmental Condition; and (2) warrants that the Site is in full compliance with applicable Laws and Regulations. M. Owner and Engineer agree to negotiate each dispute between them in good faith during the 30 days after notice of dispute. If negotiations are unsuccessful in resolving the dispute, then the dispute shall be mediated. If mediation is unsuccessful, then the parties may exercise their rights at law. 6.01 Total Agreement A. This Agreement (including any expressly incorporated attachments), constitutes the entire agreement between Owner and Engineer and supersedes all prior written or oral understandings. This Agreement may only be amended, supplemented, modified, or canceled by a duly executed written instrument. Pape 6 7.01 Basis of Payment —Lump Sum A. Using the procedures set forth in Paragraph 2.01, Owner shall pay Engineer as follows B. Except for excluded services as provided in Section III of Scope of Work below, engineer's sole compensation for satisfactory performance of all services required or rendered pursuant to this Agreement shall not exceed $288,100.20 paid on the basis of a fixed monthly fee of $17,239.35; plus a not to exceed On Call Maintenance monthly fee of $4,769.00 in accordance with the Price of Services contained in Attachment "D". Such fee includes all parts, labor and expenses incurred by Engineer in performance of the services. C. Owner may request by the Task Order process the removal, addition or redeployment of Logicover, Repeater or Gateway equipment on its RT-DSS system. The Engineer will accordingly add or remove the monthly subscription fee for the Physical Site Monthly Service and the Connection Fees per the schedule on Attachment "D". The addition or removal of subscription fees will be effective on the first of the month following the completion of the Task Order. D. The Owners request for equipment removal, addition or redeployment on the RT- DSS will be known as "RT-DSS Enhancement" will be based on the fee schedule in Attachment "D". These funds will be managed by the Task Order process. These will be billed monthly on a time and materials basis only as they are used. The total annual sum is not to exceed $24,000.00. E. Engineer's sole compensation for satisfactory performance of all excluded services, as listed in Section III of Scope of Work, required and authorized in writing by the Owner will be paid on a time and materials basis in accordance with the price list contained in Attachments "D" & "E". F. Engineer shall render monthly statements following the end of the respective month for services performed in the preceding month. Statements will be payable in the normal course of Owner business. But in no event later than 30 calendar days following receipt of the detailed statement. G. The portion of the compensation amount billed monthly for Engineer's services will be based upon Engineer's estimate of the percentage of the total services actually completed during the billing period. a. Owner will not make changes in the monitoring equipment or software at the unit sites that would preclude Engineer from being able to service Owner's equipment, except as authorized in writing by Engineer. b. Owner will not make repairs or perform maintenance or attempt to do so on the telemetry monitoring equipment at the unit sites, except as authorized in writing by Engineer. Owner will allow Engineer to address the system electronically for purposes of running diagnostic tests and performing other pertinent functions during repair and maintenance of the monitoring equipment at the unit sites. d. Upon request by Engineer, Owner will make available to Engineer any existing data or monitor information which would assist in the diagnostic procedure. e. Owner will designate a single representative who shall be the primary contact with Engineer for the resolution of field problems. Written notification of any change in this primary contact will be immediately provided to Engineer. f. Owner will use its best efforts to provide and maintain intemet connectivity to each unit site listed in Attachment "B" (South Bend Cellular Communications Schedule). g. Upon reported observations thereof, Owner will be responsible for removal of any vegetation, debris or silt that may, or does, create backups or flow disruptions that may cause damage at the monitoring sites or have a negative effect on data accumulation. h. Owner will be responsible for the routine sensor maintenance or replacement of sensor equipment at monitoring sites that have negative effect on data collection or telemetry. 9.0 Scope of Work Section I. Monthly Service The Engineer shall perform the following routine maintenance and/or repair services on telemetry equipment installed at the locations listed in Attachment "A", entitled "Monitoring Site Schedule," attached hereto and by this reference incorporated as part of this Exhibit "A". The services shall include provisions for all labor, parts, and field equipment. The routine telemetry maintenance and repair services to be provided by the Engineer shall include: B. Routine Telemetry equipment repair and maintenance services: The Engineer on a scheduled monthly basis will perform repair and maintenance services necessary to keep the telemetry equipment operating in accordance with manufacturer's design specifications. These services will be performed as required both in the field and from the Engineer service facilities. Work will be completed during normal Engineer's business hours. The services to be performed under this agreement include: a. General telemetry equipment maintenance including battery replacement; b. Batteries shall be replaced when their voltages are 'critical'on the diagnostic evaluation. c. The following items will be conducted under the routine service plan: EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services. Repair of communication link failure internal to the telemetry equipment; iii. Repair or replacement of telemetry related circuit boards, internal electronics, connectors, wiring, chassis, manhole cover, and miscellaneous items as required. iv. The Engineer shall maintain client related WE13forms which documents all EmNet maintenance and diagnostics performed. C. System Performance: Under this Scope of Work, the Engineer will monitor the telemetry system wide uptime daily. Concerning control valve sites, the Engineer shall take action to address problems in no more than three (3) working days. Concerning all other sites, the Engineer shall take action to address problems in no more than five (5) working days. The Engineer shall exclude from the uptime calculation defined in Section I, monitoring sites under maintenance and repair due to no fault of the Engineer (e.g. loss of power, node removed for Owner activities/construction, and third party maintenance). D. Contract Manager: The Owner and the Engineer will designate a primary contact for the Service Agreement at the beginning of the term of this contract to manage the overall contract and related funds. Contract Manager is referenced in paragraph 8.03.A. E. Project Management 1. The Scope of Work includes one (1) monthly ninety (90) minute meeting between the Owner and Engineer to review contract status and the system performance. EmNet participants will include the Field Service Manager and the Engineering Project Manager. 2. Monthly data QA/QC 3. Service scheduling and related communication 4. Annual Summary of service from WE13forms F. On -Call Maintenance Service: The Engineer will perform the following `On -Call Maintenance' as requested by the Owner. The total cost in time and materials for `On -Call Maintenance' shall not exceed $4,769.00 per each calendar month. All materials purchased by the Owner with `On -Call Maintenance' shall remain the property of the Owner. Any service provided by Engineer beyond the allocated `On -Call Maintenance' will fall under `Excluded Services'. Engineer will keep and maintain all documentation related to `On -Call Maintenance'. The following services and equipment may be considered part of `On -Call Maintenance': a. Changes or alterations in specifications; b. Painting, refinishing, or furnishing materials; c. Installation, moving, or removing of equipment unless required as part of the repair process; d. Repairs made necessary by action of the Owner, its employees, agents, contractors or invitees; e. Repairs made necessary due to attempts by the Owner to repair or maintain the Engineer equipment unless authorized by the Engineer; EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services. Maintenance and repairs to equipment not specifically identified in Attachment "A", "Monitoring Site Schedule"; g. Service during holidays or weekends, or service not covered by this Agreement. Holidays are defined as New Year's Day, Martin Luther King Day, Presidents Day, Good Friday, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day and the day after, Christmas Eve and Christmas Day; h. Maintenance and repairs made necessary due to events beyond the Engineer's control such as, but not limited to, vandalism, construction by others that cut electric lines, unusually heavy debris that destroys or otherwise disables sensors, sensor or monitor (level transducer, flow meter, or water quality sensor) functional or installation failure, or acts of God (e.g., lightning strikes, etc.); i. Meetings required by items `a' through `h' called by Owner or Engineer above the one (1) ninety (90) minute monthly meeting; j. Task Order: The request and approval process for these On -Call Maintenance Service will be managed through a Task Order Process. An example of the task order is shown in Attachment "F". Task Orders will be relatively small scope by design. Any potential task order that exceeds $10,000 should be handled as a separate, stand-alone project with a more detailed Scope of Work and respective budget. The Task Order process can be initiated by the Owner or the Engineer. The Task Order will require approval by both the Owner and the Engineer to be valid. Section II. Data Warehousing, Website Access and Dashboard The Engineer will maintain a database containing all the data collected by the monitors for the past three (3) years. The Engineer will give the Owner access to the data through two (2) methods: a web site portal and a database account. The 2014 RT-DSS project established a Dashboard per the Owner's direction. The Engineer will maintain the Dashboard in its current state. The Agreement does not provide for additions or changes to the web site portal, database or dashboard. This would be covered under the On -Call Maintenance Service Task Order in Section I if the requested effort is relatively small (under $5,000 effort). If a larger scope, then it would be a stand-alone project. Section III. Excluded Services The following equipment and services shall be excluded from the monthly maintenance and repair service agreement if they exceed the allocated quota for `On -Call Maintenance': A. Communication and electrical lines external to the equipment; B. Changes or alterations in specifications; C. Painting, refinishing, or furnishing materials; D. Repairs made necessary by action of the Owner, its employees, agents, contractors or invitees; F. Any changes to sensor equipment by the Owner that affects the telemetry, including periodic sensor calibration; G. Repairs made necessary due to attempts by the Owner to repair or maintain the Engineer equipment unless authorized by the Engineer; H. Maintenance and repairs to equipment not specifically identified in Attachment "A", "Monitoring Site Schedule"; I. Service during holidays or weekends, or service not covered by this Agreement. Holidays are defined as New Year's Day, Martin Luther King Day, Presidents Day, Good Friday, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day and the day after, Christmas Eve and Christmas Day; J. Maintenance and repairs made necessary due to events beyond the Engineer's control such as, but not limited to, vandalism, construction by others that cut electric lines, unusually heavy debris that destroys or otherwise disables sensors, sensor or monitor (level transducer, flow meter, or water quality sensor) function or installation failure, or acts of God (e.g., lightning strikes, etc.); Such services requested of the Engineer outside of this Scope of Work will fall under Time and Material; K. Engineer does not perform any work requiring confined space entry. Section IV. RT-DSS Enhancement The Engineer will make Logicover, Gateway or Repeater equipment additions, removals and redeployments to the Owner's RT-DSS as directed by the Task Order process. The Task Order budget will be determined by the site specifics and desired outcome as agreed to by the Owner and the Engineer. 1) The scope of work for the Task Order will be determined in writing and agreed to by the Owner and the Engineer. 2) The budget for the Task Order will be determined by the site specifics and desired outcome as agreed to by the Owner and the Engineer, and only after the scope of work is final. 3) The Task Order budget will come from the "RT-DSS Enhancements" line item from the EmNet Price of Services in Attachment "D". 4) The changes that come about from this process will be documented in Attachment "A" or `B" accordingly.
