An Agreement was executed on September 22, 2015 between the City of South Bend, Indiana [Client], having its principal
place of business at 1316 County -City Building, South Bend, Indiana 46601, and Arcadis U.S., Inc. [Arcadis], having its
principal place of business at 630 Plaza Drive, Highlands Ranch, Colorado 80129 and having an office at 132 East Washington
Street, Suite 600, Indianapolis, Indiana 46204.
Under the Agreement, Arcadis provides certain professional engineering services related to design services to provide a new
Aeration Gallery top slab, and review of substitution requests submitted by the Contractor to date for the project.
Client and ARCADIS now desire to amend the Agreement to include the amended Services as described below.
In consideration of the mutual promises in the Agreement, Client and Arcadis agree to amend the Agreement as the following:
1. Schedule A-1, Scope of Amended Services.
2. Schedule B-1, Compensation for Amended Services.
Other Provisions. Except as amended herein, all other provisions, terns and conditions in the Agreement shall remain in full
force and effect.
Execution Authority. This Amendment to the Agreement is a valid and authorized undertaking of Client and Arcadis. The
representatives of Client and Arcadis who have signed below have been authorized to do so.

Scope of Amended Services and Related Matters
ENGINEERING SERVICES BY ARCADIS
Aeration Gallery Top Slab: To provide a design of a new Aeration Gallery top slab. The top slab will cover the tunnel
and the existing Return Sludge Channel which is currently being converted from a liquid channel to a dry channel to house
the return sludge piping header. The existing steel plates that currently cover the Return Sludge Channel will be removed
and new access hatches will be provided at key locations for tunnel and return sludge pipe access. It is assumed that the
existing top slab will remain in place and act as the formwork/shoring for the placement of the new top slab over it. The
top slab will be designed for a loading adequate for the heaviest equipment and vehicles it will see. Pick points will also be
provided along the length of the top slab for equipment maintenance and piping removal. To account for the additional
height of adding the new slab over the existing slab, steps will be incorporated where needed to provide safe and adequate
access/egress and new railing will be provided along the full length of the west and east sides of the new top slab.
Substitutions: Per our Agreement, Arcadis and its subconsultants will separately track the time and expense required for
substitution reviews and invoice for such reviews as Additional Services. To date, the following substitutions have been
requested or submitted by the Contractor and reviewed by Arcadis and its subconsultants. Note that there are ongoing
discussions on several of these items that will continue to be tracked and submitted as Additional Services.

The Department of Environmental Services (DES) is requesting the Board of Public Works
approval of an Amendment to the Professional Services Agreement for Project No. 114-053
Wastewater Treatment Plant Secondary Treatment Improvements with Arcadis U.S.
This Amendment includes the addition of design services to design a slab for the Aeration
Gallery Tunnel which will carry vehicle traffic and extend walkway space, and detail safety
handrail improvements along the Aeration Gallery walkway. Refer to Amendment for details.
In addition to the above design services, the Amendment also provides compensation to the
Engineers of Record for the review of substitution requests made by the General Contractor.
The substitution requests were evaluated at the request of the General Contractor and the
Division of Utilities. It should be noted that some of the costs associated with this work may be
applied as a deductive change order to the Construction Contract which requires the General
Contractor to cover the costs for the review of Substitution Requests. This will be addressed
with the General Contractor through a future Change Order. Refer to Amendment for details.
The increase to the subject amendment will increase the contract by $37,620.00.
The primary funding sources for this work will be Utilities, Wastewater Engineering (Account
Number 641-0630-793-31-02). If there are any questions regarding the subject project, please
